Preamble
This agreement is entered into by and between Party A and Party B on the date of this agreement.

Article 1 Definitions
1.1 “Agreement” refers to this contract and all attached schedules and exhibits.
1.2 “Party A” refers to the contracting party whose information is listed hereinabove.
1.3 “Party B” refers to the contracting party whose information is listed hereinabove.
1.4 “Effective Date” refers to the date of execution of this agreement.
Article 2 Scope of Agreement
2.1 Purpose of Agreement. Both parties acknowledge and agree to the terms and conditions set forth herein.
2.2. Work to be Performed. Party A agrees to provide the following services to Party B:

Article 3 Obligations of Party A
3.1 Party A shall perform the services diligently and professionally.
3.2 Party A shall furnish all parts, materials, equipment, and labor required to perform the work under the terms of this agreement.
3.3 Party A shall provide services as set forth in Schedule A attached to this agreement.
Article 4 Obligations of Party B
4.1 Party B shall pay Party A the fees agreed to in Schedule A attached to this agreement.
4.2 Party B shall promptly notify Party A of any material or information reasonably necessary or pertinent.
4.3 Party B shall provide such other assistance as may reasonably be requested by Party A in connection with the performance of the work.
Article 5 Termination
5.1 In the event that either Party defaults in performance of the obligation set forth herein, then the non-defaulting Party may terminate this agreement.
5.2 Should Party A fail to perform as required under this agreement, then Party B may terminate this agreement without liability.
5.3 The rights and obligations of the parties shall survive the termination of this agreement.
Article 6 Confidentiality
6.1 Each party agrees to keep confidential and not to disclose to any persons any information or data disclosed to it by the other party.
6.2 Should either party breach its obligations under this Article, then the other party shall be entitled to seek injunctive relief.
Article 7 Notices
7.1 Any notice required or permitted under this agreement shall be in writing and shall be deemed given on the earlier of the date of actual delivery or three (3) business days after the date of
mailing by certified mail, return receipt requested, postage prepaid.
7.2 Such notices shall be addressed to the respective parties at the addresses set forth in the Preamble or at such other address as a party may from time to time designate by written notice to the other party.
Article 8 Governing Law
8.1 This agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China.
8.2 Any dispute arising out of or related to this agreement shall be resolved by arbitration in the People’s Republic of China.
Article 9 Entire Agreement
9.1 This Agreement together with the schedules attached hereto sets forth the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements between the parties.
9.2 This agreement may not be amended except in writing signed by both parties.
9.3 This agreement shall be binding upon and inure to the benefit of the parties and their respective successors and assigns.
