Maintenance Agreement
This Maintenance Agreement ("Agreement") is entered into on the __th day of __, 20__, by and between _________________ ("Maintenance Service Provider"), with its principal place of business at _________________, and _________________ ("Customer"), with its principal place of business at
_________________.
WHEREAS, the Maintenance Service Provider possesses the necessary qualifications, skills, and expertise to perform maintenance services as described in this Agreement, and the Customer desires to engage Maintenance Service Provider to perform the services described in the Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
1. Services to be provided
Maintenance Service Provider shall provide maintenance services for the equipment specified in Exhibit A.
2. Payment
Customer agrees to pay Maintenance Service Provider the sum specified in Exhibit A for the maintenance services provided. Payment shall be due upon the completion of the services.
3. Term
This Agreement shall be effective as of the date specified above and shall remain in effect for a period of __ year(s), unless terminated earlier in accordance with Section 7.
4. Warranties and Representations
Maintenance Service Provider warrants that the services performed under this Agreement will be completed in a professional and workmanlike manner in accordance with generally accepted industry standards. Maintenance Service Provider represents that it possesses the necessary qualifications, skills, and expertise to perform the services described in this Agreement.
Customer warrants that it possesses all necessary rights and licenses to allow Maintenance Service Provider to perform the services specified in Exhibit A.
5. Indemnification
Each party shall indemnify and hold the other harmless from any and all claims, damages, liabilities, costs, and expenses arising out of the indemnifying party's breach of any warranties or representations it makes pursuant to this Agreement.
6. Limitation of Liability
Except for the indemnification obligations set forth in Section 5, neither party shall be liable to the other for any damages arising out of or relating to this Agreement, regardless of the form of action, whether in contract, tort, or otherwise, and whether or not the party has been advised of the possibility of such damages. In no event shall Maintenance Service Provider’s total liability exceed the sum paid by the Customer under this Agreement.
7. Termination
Either party may terminate this Agreement upon written notice to the other party if:
a. The other party breaches any material term or provision of this Agreement and fails to cure such breach within _____ days of receipt of written notice from the non-breaching party; or
b. The other party becomes insolvent, files for bankruptcy, or has a receiver or trustee appointed for all or any part of its assets.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China.
9. Entire Agreement
This Agreement supersedes all prior discussions and negotiations between the parties and constitutes the entire
agreement between them. This Agreement may not be amended except in writing signed by both parties.
10. Counterparts, Facsimile Signatures
This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile signatures of the parties shall be deemed binding and effective for all purposes.
