Agreement
This Agreement (the "Agreement"), dated ____________, is made by and between _______________ ("Seller"), and

1. Identification of Parties.

2. Transaction.
Seller agrees to sell and deliver to Buyer, and Buyer agrees to purchase and receive from Seller, the goods described in Exhibit A attached hereto (the "Goods").
3. Delivery and Risk of Loss.
Delivery shall be made FOB [named place of shipment], Incoterms® 2020, and risk of loss or damage to the Goods shall pass from Seller to Buyer at such named place of shipment. All costs and expenses of loading the Goods on board the vessel and all other expenses necessary to put the Goods in conformity with the terms of the sale agreement shall be for the account of Seller.
4. Price and Payment.
The price of the Goods shall be as set forth in Exhibit A. Payment for the Goods shall be made in accordance with the payment terms set forth in Exhibit A.
5. Inspection and Acceptance.
Buyer shall have the right to inspect the Goods at the port of destination, and if the Goods are not in conformity with the specifications set forth in the Agreement, or are otherwise defective or damaged, Buyer may reject the Goods. Seller shall be responsible for all costs associated with the return of rejected Goods.
6. Force Majeure.
Neither party shall be liable for any failure to perform its obligations under this Agreement if such failure is due to an event beyond its control, including, but not limited to, acts of God, war, terrorism, civil commotion, strikes, lockouts, or other labor disruptions, government regulations, or other causes.
7. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China.
8. Dispute Resolution.
Any dispute arising under or in connection with this Agreement shall be settled by arbitration in accordance with the
rules of the China International Economic and Trade Arbitration Commission. The language of the arbitration shall be English.
9. Entire Agreement.
This Agreement constitutes the entire and only agreement of the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
10. Amendments.
This Agreement may be amended or modified only in writing signed by both Seller and Buyer.
11. Counterparts.
This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
