3.3 若一方违反本授权书的规定，严重伤害了对方的利益，对方有权单方面终止本授权书。
第四条保密条款4.1 双方应对本授权书内容及相关商业机密保密，不得向第三方透露或者泄露。
4.2 未经对方书面允许，任何一方不得将本授权书转让给第三方。
第五条争议解决5.1 本授权书的解释和执行均适合中华人民共和国法律。
5.2 如发生争议，双方应友好商议解决；商议不成的，任何一方可向甲方所在地的人民法院提起诉讼。
第六条其他6.1 本授权书一式两份，甲、乙双方各执一份，具有同等法律效力。

对于跨地区销售，一经发现，将给予警告；对于连续两次违反者，甲方有权取消其代理资格和本协议给予的一切权益。
Party B shall not solicit or accept orders for the purpose of selling them outside territory. Once cross-area-sales be founding, Party A will give Party B a warning.For two successive violators,Party A shall have the right to cancel Party B’s agent qualification and all the rights to this agreement.5.退货Return如产品存在质量问题，乙方须在收到货物后60日内向甲方提交退货申请，甲方应同意退货；乙方退回的产品及其包装必须达到不影响再次销售的要求，否则，甲方不予退款；甲方在收到退货并确认符合上述要求后退款。

When deliver the transportation and insurance fee should be borne by Party A.If Party B has special requirements, the beyond fee shall be borne by party B.When Return the transportation and insurance fee should be borne by Party B.7.不可抗力Force Majeure因水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。
但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件证明寄交对方。
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by therelative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued relevant authorities to the other party within15 days after its occurrence.8.仲裁Arbitration一切因履行本协议发生的争端应通过友好协商解决。
如协商不成，均应提交至乙方所在地的人民法院，按照申请仲裁时该会实施的仲裁规则进行仲裁。
仲裁裁决终局的，对双方均有约束力。
All disputes arising from the performance of this agreement shall be settledthrough friendly negotiation. Should no settlement be reached through negotiation, the case shall be submitted to court where is Party B is located, which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration.
