Contract (as hereinafter defined) the following words and expressions shall have the meanings hereby assigned to them, except where the context otherwise requires :a. (i) "Employer" means PHU MY HUNG CORPORATION, a company incorporatedand registered at Saigon Parking Way Dist.7 HCMC. Vietnam.(ii) "Contractor" means the person named as such in Part II of these Conditions and the legal successors in title to such person, but not ( except with the consent of theEmployer) any assignee of such person.(iii) "Subcontractor" means any person named in the Contract as a Subcontractor for a part of the Works or any person to whom a part of the Works has beensubcontracted with the consent of the Engineer and the legal successors in thetitle to such person, but not any assignee of any such person.(iv) "Engineer" means Sino Pacific Construction Consultant Co,,Ltd. appointed by the Employer to act as Project Management for the purposes of the Contract.(v) "Engineer's Representative" means a person appointed from time to time by the Engineer under Sub-Clause 2.2.b. (i) "Contract" means these Conditions (Parts I and II), the Specification, the Drawings,the Bill of Quantities, the Tender, the Letter of Acceptance, the ContractAgreement (if completed) and such further documents as may be expresslyincorporated tin the Letter of Acceptance or Contract Agreement (if completed).(ii) "Specification" means the specification of the Works included in the Contract and any modification thereof or addition thereto made under Clause 51 or submitted bythe Contractor and approved by the Engineer.(iii) "Drawings" means all drawings, calculations and technical information of a like nature provided by the Engineer to the Contractor under the Contract and alldrawing, calculations, samples, patterns, models, operation and maintenancemanuals and other technical information of a like nature submitted by theContractor and approved by the Engineer.(iv) "Bill of Quantities" means the priced and completed bill of quantities forming part of the Tender.(v) "Tender" means the Contractor's priced offer to the Employer for the execution and completion of the Works and the remedying of any defects therein accordancewith the provisions of the Contract, as accepted by the Letter of Acceptance.(vi) "Letter of Acceptance" means the formal acceptance by the Employer of the Tender.(vii) "Contract Agreement" means the contract agreement (if any) referred to in Sub-Clause 9.1.(viii) Appendix to Tender" means the appendix comprised in the form of Tender annexed to these Conditions.c. (i) "Commencement Date" means the date upon which the Contractor receives thenotice to commence issued by the Engineer pursuant to Clause 41.(ii) "Time for Completion" means the time for completing the execution of and passing the Tests on Completion of the Works or any Section or part thereof as stated inthe Contract (or as extended under Clause 44) calculated from the Commencement Date.d. (i) "Tests on Completion" means the tests specified in the Contract or otherwiseagreed by the Engineer and the Contractor which are to be made by theContractor before the Works or any Section or part thereof are taken over by theEmployer.(ii) Taking-Over Certificate" means as certificate issued pursuant to Clause 48.e. (i) "Contract Price" means the sum stated in the Letter of Acceptance as payable tothe Contractor for the execution and completion of the Works and the remedyingof any defects therein accordance with the provisions of the Contract.(ii) Retention Money" means the aggregate of all monies retained by the Employer pursuant to Sub-Clause 60.2(a).f. (i) "Works" means the permanent Works and the Temporary Works or either of themas appropriate.(ii) "Permanent Works" means the permanent works to be executed (including Plant) in accordance with the Contract.(iii) "Temporary Works" means all temporary works of every kind (other than Contractor's Equipment) required in or about the execution and completion of theWorks and the remedying of any defects therein.(iv) "Plant" means machinery, apparatus and the like intended to form of forming part of the permanent Works.(v) "Contractor's Equipment" means all appliances and things of whatsoever nature (other than Temporary Works) required for the execution and completion of theWorks and the remedying of any defects therein, but does not include Plant,materials or other things intended to form or forming part of the Permanent Works.(vi) "Section" means a part of the Works specifically identified in the Contract as a Section.(vii) "Site" means the places provided by the Employer where the Works are to be executed and any other places as may be specifically designated in the Contractas forming part of the Site.g. (i) "Cost" means all expenditure properly incurred or to be incurred, whether on or offthe Site, including overhead and other charges properly allocable thereto but doesnot include any allowance for profit.(ii) "Day" means calendar day.(iii) "Foreign currency" means a currency of a country other than that in which the Works are to be located.(iv) "Writing" means any hand-written, type-written, or printed communication, including telex, cable and facsimile transmission.1.2 Headings and Marginal NotesThe headings and marginal notes in these Condition shall not be deemed part thereof or be taken into consideration in the interpretation or construction thereof or of the Contract.1.3 InterpretationWords importing persons or parties shall include firms and corporations and any organization having legal capacity.1.4 Singular and PluralWords importing the singular only also include the plural and vice versa where the context requires.1.5 Notices, Consents, Approvals, Certificates and DeterminationsWherever in the Contract provision is made for the giving or issue of any notice, consent, approval, certificate or determination by any person, unless otherwise specified such notice, consent, approval, certificate or determination shall be in writing and the words "notify","certify" or "determine" shall be construed accordingly. Any such consent, approval, certificate or determination shall not unreasonably be withheld or delayed.Engineer and Engineer's Representative2.1 Engineer's Duties and Authoritya. The Engineer shall carry out the duties specified in the Contract.b. The Engineer may exercise the authority specified in or necessarily to be implied fromthe Contract, provided, however, that if the Engineer is required, under the terms of his appointment by the Employer, to obtain the specific approval of the Employer before exercising any such authority, particulars of such requirements shall be set out in Part II of these Conditions. Provided further that any requisite approval shall be deemed to have been given by the Employer for any such authority exercised by the Engineer.c. Except as expressly stated in the Contract, the Engineer shall have no authority torelieve the Contractor of any of his obligations under the Contract.2.2 Engineer's RepresentativeThe Engineer's Representative shall be appointed by and be responsible to the Engineer and shall carry out such duties and exercise such authority as may be delegate to him by the Engineer under Sub-Clause 2.3.2.3 Engineer's Authority to DelegateThe Engineer may from time to time delegate to the Engineer's Representative any of the duties and authorities vested in the Engineer and he may at any time revoke such delegation. Any such delegation or revocation shall be in writing and shall not take effect until a copy thereof has been delivered to the Employer and the Contractor.Any communication given by the Engineer's Representative to the Contractor in accordance with such delegation shall have the same effect as though it has been given by the Engineer. provided that :a. Any failure of the Engineer’s Representative to disapprove any work, materials or Plantshall not prejudice the authority of the Engineer to disapprove such works, materials or Plant and to give instructions for the rectification thereof;b. If the Contractor questions any communication of the Engineer's Representative he mayrefer the matter to the Engineer who shall confirm, reverses or vary the contents of such communication.2.4 Appointment of AssistantsThe Engineer or the Engineer's representative may appoint any number of person to assist the Engineer's Representative in the carrying out of his duties under Sub-Clause 2.2. He shall notify to the Contractor the names, duties and scope of authority of such person. Such assistants shall have no authority to issue any instructions to the Contractor save in so far as such instructions may be necessary to enable them carry out their duties and to secure their acceptance of materials, Plant or workmanship as being in accordance with the Contract, and any instructions given by any of them for those purposes shall be deemed to have been given by the Engineer's representative.2.5 Instructions in WritingInstructions given by the Engineer shall be in writing, provided that if for any reason the Engineer considers it necessary to give any such instruction orally, the Contractor shall comply with such instruction. Confirmation in writing of such oral instruction given by the Engineer, whether before or after the carrying out of the instruction, shall be deemed to be an instruction within the meaning of this Sub-Clause. Provided further that if the Contractor,within 7 days, confirms in writing to the Engineer any oral instruction of the Engineer and such confirmation is not contradicted in writing within 7 days by the Engineer, it shall be deemed to be an instruction of the Engineer.The provisions of this Sub-Clause shall equally apply to instructions given by the Engineer's Representative and any assistants of the Engineer or the Engineer's Representative appointed pursuant to Sub-Clause 2.4.2.6 Engineer to Act impartiallyWherever, under the Contract, the Engineer is required to exercise his discretion by :a. Giving his decision, opinion or consent, orb. Expressing his satisfaction or approval, orc. Determining value, ord. Otherwise taking action which may affect the rights and obligations of the Employer orthe Contractorhe shall exercise such discretion impartially within the terms of the Contract and having regard to all the circumstances. Any such decision, opinion, consent, expression of satisfaction, or approval, determination of value or action may be opened up, reviewed or revised as provided in Clause 67.Assignment and Subcontracting3.1 Assignment of ContractThe Contractor shall not, without the prior consent of the Employer (which consent, notwithstanding the provisions of Sub-Clause 1.5, shall be at the sole discretion of the Employer), assign the Contract or any part thereof, or any benefit or interest therein or thereunder, otherwise than by :a. A charge in favour of the Contractor's bankers of any monies due or to become dueunder the Contract, orb. Assignment to the Contractor's insurers (in cases where the insurers have dischargedthe Contractor's loss or liability) of the Contractor's right to obtain relief against any other party liable.4.1 SubcontractingThe Contractor shall not subcontract the whole of the Works. Except where otherwise provided by the Contract, the Contractor shall not subcontract any part of the Works without the prior consent of the Engineer. Any such consent shall not relieve the Contractor from any liability or obligation under the Contract and he shall be responsible for the acts, defaults and neglects of any Subcontractor, his agents, servants or workmen as fully as if they were the acts, defaults or neglects of the Contractor, his agents, servants or workmen.Provided hat the Contractor shall not be required to obtain such consent for :a. the provision of labour, orb. the purchase of materials which are in accordance with the standards specified in theContract, orc. the subcontracting of any part of the Works for the Subcontractor is named in theContract.4.2 Assignment of Subcontractors' ObligationsIn the event of a Subcontractor having undertaken towards the Contractor in respect of the work executed, or the goods, materials, Plant or services supplied by such Subcontractor, any continuing obligation extending for a period exceeding that of the Defects Liability Period under the Contract, the Contractor shall at any time, after the expiration of such Period, assign to the Employer, at the Employer’s request and cost, the benefit of such obligation for the un-expired duration thereof.Contract Documents5.1 Language/s and LawThere is stated in Part II of these Conditions :a. the language or languages in which the Contract documents shall be drawn up, andb. the country or state the law of which shall apply to the Contract & according to which theContract shall be construed.If the said documents are written in more than one language, the language according to which the Contract shall be construed and interpreted is also stated in Part II of these Conditions, being therein designated the "Ruling Language".5.2 Priority of Contract DocumentsThe several documents forming the Contract are to be taken as mutually explanatory of one another, but in case of ambiguities or discrepancies the same shall be explained and adjusted by the Engineer who shall thereupon issue to the Contractor instructions thereon and in such event, unless otherwise provided in the Contract, the priority of the documents forming the Contract shall be as follows :a. The Contract Agreement (if completed) ;b. The Letter of Acceptance ;c. The Tender ;d. Part II of these Conditions ;e. Part I of these Conditions ; andf. Any other document forming part of the Contract.6.1 Custody and Supply of Drawings and DocumentsThe Drawings shall remain in the sole custody of the Engineer, but two copies thereof shall be provided to the Contractor free of charge. The Contractor shall make at his own cost any further copies required by him. unless it is strictly necessary for the purpose of the Contract, the Drawings, Specification and other documents provided by the Employer or the Engineer shall not, without the consent of the Engineer, be used or communicated to a third party by the Contractor. Upon issue of the Defects Liability Certificate, the Contractor shall return to the Engineer all Drawings, Specification and other documents provided under the Contract. The Contractor shall supply to the Engineer four copies of all Drawings, Specification and other documents submitted by the Contractor and approved by the Engineer in accordance with Clause 7, together with a reproducible copy of any material which cannot be reproduced to an equal standard by photocopying. In addition the Contractor shall supply such further copies of such Drawings, Specification and other documents as the Engineer may request in writing for the use of the Employer, who shall pay the cost thereof.6.2 One of Copy of Drawings to be Kept on SiteOne copy of the Drawings, provided to or supplies by the Contractor as aforesaid, shall be kept by the Contractor on the Site and the same shall at all reasonable times be available for inspection and use by the Engineer and by any other person authorised by the Engineer in writing.6.3 Disruption of ProgressThe Contractor shall give notice to the Engineer, with a copy to the Employer, whenever planning or execution of the Works is likely to be delayed or disrupted unless any furtherdrawing or instruction is issued by the Engineer within a reasonable time. The notice shall include details of the drawing or instruction required and of why and by when it is required and of any delay or disruption likely to be suffered if it is late.6.4 Delays and Cost of Delay of DrawingsIf, by reason of any failure or inability of the Engineer to issue, within a time reasonable in all the circumstances, any drawing or instruction for which notice has been given by the Contractor in accordance with Sub-Clause 6.3, the Contractor suffers delay and/or incurs costs then the Engineer shall, after due consultation with the Employer and the Contractor, determine :a. Any extension of time to which the Contractor is entitled under Clause 44, andb. The amount of such costs, which shall be added to the Contract Price, and shall notifythe Contractor accordingly, with a copy to the Employer.6.5 Failure by Contractor to Submit DrawingsIf the failure or inability of the Engineer to issue any drawings or instructions is caused in whole or in part by failure of the Contractor to submit Drawings, Specification or other documents which he is required to submit under the Contract, the Engineer shall take such failure by the Contractor into account when making his determination pursuant to Sub-Clause 6.4.7.1 Supplementary Drawings and InstructionsThe Engineer shall have authority to issue to the Contractor, from time to time, such supplementary Drawings and instructions as shall be necessary for the purpose of the proper and adequate execution and completion of the Works and the remedying of any defects therein. The Contractor shall carry out and be bound by the same.7.2 Permanent Works Designed by ContractorWhere the Contract expressly provides that part of the Permanent Works shall be designed by the Contractor, he shall submit to the Engineer, for approval :a. such drawings, specifications, calculations and other information as shall be necessaryto satisfy the Engineer as to the suitability and adequacy of that design, andb. operation and maintenance manuals together with drawings of the Permanent Works ascompleted, in sufficient detail to enable the Employer to operate, maintain, dismantle, reassemble and adjust the Permanent Works incorporating that design. The Works shall not be considered to be completed for the purposes of taking over in accordance with Clause 48 until such operation and maintenance manuals, together with drawings on completion, have been submitted to and approved by the Engineer.7.3 Responsibility Unaffected by ApprovalApproval by the Engineer, in accordance with Sub-Clause 7.2, shall not relieve the Contractor of any of his responsibilities under the Contract.。

国内工程应用FIDIC施工合同指引主要条款解读(8-10)第3. 工程师解读:雇主聘任工程师的理由,除了强制性规定外,一般都是依据自身管理能力来确定。
自身管理能力弱,就可能请全过程管理或者请多方面的专业顾问;自身管理能力强,就可能少请甚至不请工程师。
注册工程师应该对这种雇主需求有清醒的认识。
将自己的工作定位主动地与雇主管理要求匹配起来,这样才容易做好工作。
超越这个范畴,工程师就容易与雇主发生工作不合拍,这对工程师不是什么好事情。
雇主挑选工程师主要有以下几种形式:1、雇主几乎不具有项目运作能力。
雇主不具备项目运作的能力,基本意味着项目将以委托项目管理或者“turnkey”形式开展。
此时的工程师可说除了对雇主承诺外,拥有项目其他大部分的管理权。
雇主不具有项目运作能力的情况在国内不多见。
雇主没有这种能力在中国几乎不会通过项目的政府审批。
即使是由国际银行投资的项目,按中国人的规定,也是必须要进行设计与管理的“强制合作”。

“变更”系指按照第13条[变更和调整]的规定,经指示或批准作为变更的,对雇主要求或工程所做的任何更改.1.2解释在合同中,除上下文另有需要外:(a)表示某一性别的词,包括所有性别;(b)单数形式的词也包括复数含义,反之亦然;(c)包括“同意(商定)”、“已达成(取得)一致”、或“协议”等词的各项规定都要求用书面记载;(d)“书面”或“用书面”系指手写、打字、印刷、或电子制作,并形成永久性记录.旁注和其他标题在本条件的解释中不应考虑.1.3通信交流本条件不论在何种场合规定给予或颁发批准、证明、同意、确定、通知和请求时,这些通信信息都应:(a)采用书面形式,由人面交(取得对方收据),通过邮寄或信差传送,或用专用条件中提出的任何商定的电子传输方式发送;(b)交付、传送或传输到合同中注明的接收人的地址.但(i)如接收人通知了另外地址时,随后通信信息应按新址发送;(ii)如接收人在请求批准、同意时没有另外说明,可按请求发出的地址发送.批准、证明、同意和确定不得无故被扣压或拖延.1.4法律和语言合同应受专用条件中所述国家(或其他司法管辖区)的法律管辖.当合同任何部分的文本采用一种以上语言编写时,应以专用条件中指定的主导语言文本为准.通讯交流应使用专用条件中指定的语言,如未指定,应使用合同(或其大部分)编写用的语言.1.5文件优先次序构成合同的文件要认为是互相说明的.为了解释的目的,文件的优先次序如下:(a)合同协议书,(b)专用条件,(c)本通用条件,(d)雇主要求,(e)投标书和构成合同组成部分的其他文件.1.6合同协议书合同自合同协议书规定的日期起全面实施和生效.为签订合同协议书,依法征收的印花税和类似的费用(如果有)应由雇主承担.1.7权益转让任一方都不应将合同的全部或任何部分,或合同中或根据合同所具有的任何利益或权益转让他人.但任一方:(a)在另一方完全自主决定的情况下,事先征得其同意后,可以将全部或部分转让;(b)可以作为以银行或金融机构为受款人的担保,转让其根据合同规定的任何到期或将到期应得款项的权利.1.8文件的照管和提供每份承包商文件都应由承包商保存和照管,除非并直到被雇主接收为止.除非合同中另有规定,承包商应向雇主提供承包商文件一式六份.承包商应在现场保存一份合同、雇主要求、承包商文件、变更、以及根据合同发出的其他往来文书.雇主人员有权在所有合理的时间使用所有这些文件.如果一方发现为实施工程准备的文件中有技术性错误或缺陷,应立即将该错误或缺陷通知另一方.1.9保密性除了根据合同履行义务和遵守适用法律的需要以外,双方应将合同的详情视为私人的和秘密的.没有雇主事先同意,承包商不得在任何商业或技术论文或其他场合发表或允许发表、或透漏工程的任何细节.1.10雇主使用承包商文件由承包商(或以其名义)编制的承包商文件及其他设计文件,就当事双方而言,其版权和其他知识产权应归承包商所有.承包商(通过签署合同)应被认为已经给予雇主一项无限期的、可转让的、不排他的、免版税的,复制、使用和传送承包商文件的许可,包括对它们做出修改和使用修改后的文件的许可.这项许可将:(a)适用于工程相关部分的实际或预期寿命期(取较长的);(b)允许具有工程相关部分正当占有权的任何人,为了完成、操作、维修、更改、调整、修复和拆除工程的目的,复制、使用和传送承包商文件;(c)在承包商文件是计算机程序或其他软件形式的情况下,允许它们在现场和合同中设想的其他场所的任何计算机上使用,包括对承包商提供的任何计算机进行替换.未经承包商同意,雇主(或以其名义)不得在本款允许以外,为其他目的使用、复制由承包商(或以其名义)编制的承包商文件和其他设计文件,或将其传送给第三方.1.11承包商使用雇主文件由雇主(或以其名义)编制的雇主要求以及其他文件,就当事双方而言,其版权和其他知识产权应归雇主所有.承包商因合同的目的,可自费复制、使用和传送上述文件.除合同需要外,未经雇主同意,承包商不得使用、复制上述文件,或将其传送给第三方.1.12保密事项不得要求承包商向雇主透漏他在投标书中称为是秘密的任何信息.对雇主为了证实承包商遵守合同的情况,正当需要的其他信息,承包商应当透漏.1.13遵守法律承包商在履行合同期间,应遵守适用法律.除非专用条件中另有规定:(a)雇主应已(或将)为永久工程取得规划、区域划定、或类似的许可,以及在雇主要求中所述的雇主已(或将)取得的任何其他许可;雇主应保障并保持使承包商免受因未能完成上述工作带来的伤害;(b)承包商应发出所有通知,缴纳各项税费,按照法律关于工程设计、实施和竣工、以及修补任何缺陷等方面的要求,办理并领取所需要的全部许可、执照或批准;承包商应保障并保持使雇主免受因未能完成上述工作带来的伤害.1.14共同的和各自的责任如果承包商是由两个或两个以上当事人(依照适用法律)组成的联营体、联合体,或其他未立案的组合:(a)这些当事人应被认为在履行合同上对雇主负有共同的和各自的责任.(b)这些当事人应将有权约束承包商及每个当事人的负责人通知雇主.(c)未经雇主事先同意,承包商不得改变其组成或法律地位.2雇主.2.1现场进入权雇主应在专用条件中规定的时间(或几个时间)内,给承包商进入和占用现场各部分的权利.此项进入和占用权可不为承包商独享.如果根据合同,要求雇主(向承包商)提供任何基础、结构、生产设备或进入手段的占用权,雇主应按雇主要求中规定的时间和方式提供. 但雇主在收到履约担保前,可保留上述任何进入或占用权,暂不给予.如果在专用条件中没有规定上述时间,雇主应自开工日期起给承包商进入和占用现场的权利.如果雇主未能及时给承包商上述进入和占用的权利,使承包商遭受延误和(或)招致增加费用,承包商应向雇主发出通知,根据第20.1款[承包商的索赔]的规定有权要求:(a)根据第8.4款[竣工时间的延长]的规定,如果竣工已或将受到延误,对任何此类延误,给予延长期;(b)任何此类费用和合理利润,应加入合同价格,给予支付.在收到此通知后,雇主应按照第3.5款[确定]的规定,就此项要求做出商定或确定.但是,如果出现雇主的违约是由于承包商的任何错误或延误,包括在任何承包商文件中的错误或提交延误造成的情况,承包商应无权得到上述延长期、费用或利润.2.2许可、执照或批准雇主应(按其所能)根据承包商的请求,对其提供以下合理的协助:(a)取得与合同有关,但不易得到的工程所在国的法律文本;(b)协助承包商申办工程所在国法律要求的以下任何许可、执照或批准:(i)根据第1.13款[遵守法律]的规定,承包商需要得到的,(ii)为运送货物,包括结关需要的,(iii)当承包商设备运离现场出口时需要的.2.3雇主人员雇主应负责保证在现场的雇主人员和其他承包商做到:(a)根据第4.6款[合作]的规定,与承包商的各项努力进行合作.(b)采取与根据第4.8款[安全程序](a)(b)(c)项和第4.18款[环境保护]要求承包商采取的类似行动.2.4雇主的资金安排雇主在应在收到承包商的任何要求28天内,提出其已做并将维持的资金安排的合理证明,说明雇主能够按照第14条[合同价格和付款]的规定,支付合同价格(按当时估算).如果雇主拟对其资金安排做任何重要变更,应将其变更的详细的情节通知承包商.2.5雇主的索赔如果雇主认为,根据本条件任何条款、或合同有关的另外事项,他有权得到任何付款,和(或)缺陷通知期限的任何延长,他应向承包商发出通知,说明细节.但对承包商根据第4.19款[电、水和燃气]和第4.20款[雇主的设备和免费供应的材料]规定的到期付款,或承包商要求的其他服务的应付款,不需发出通知.通知应在雇主了解引起索赔的事件或情况后尽快发出.关于缺陷通知缺陷任何延长的通知,应在该期限到期前发出.通知的细节应说明提出索赔根据的条款或其他依据,还应包括雇主认为根据合同他有权得到的索赔金额和(或)延长期的事实依据.然后,雇主应按照第 3.5款[确定]的要求,商定或确定(ⅰ)雇主有权得到承包商支付的金额(如果有),和(或)(ⅱ)按照第11.3款[缺陷通知期限的延长]的规定,得到缺陷通知期限的延长期(如果有).雇主可将上述金额在给承包商的到期或将到期的任何应付款中扣减.雇主应仅有权根据本款或第14.6款[期中付款](a)和(或)(b)项的规定,从给承包商的应付款中冲销或扣减,或另外对承包商提出索赔.3雇主的管理3.1雇主代表雇主可以任命一名雇主代表,代表他根据合同进行工作。
