期满前，双方可协商续签或签订新的合作协议。
四、合作方式及内容1. 双方共同投入资源，共同开展____________（项目名称）的______（具体事项）。
2. 双方应按照约定的比例分担项目成本，共享项目收益。
3. 双方应定期召开项目进展会议，共同商讨解决合作过程中出现的问题。
4. 双方应保守合作过程中的商业秘密，未经对方同意，不得泄露给第三方。
五、权利义务1. 双方应各自履行自己的义务，确保项目的顺利进行。
2. 双方应互相支持，共同面对市场变化，确保合作目标的达成。
3. 双方应保护对方的合法权益，不得采取任何损害对方利益的行为。
4. 双方应按时支付合作项目相关的费用，确保项目的资金流转。
六、违约责任1. 任何一方未能履行本合同约定的义务，均应承担违约责任。
2. 违约方应赔偿守约方的实际损失，包括但不限于直接损失、间接损失及维权成本。
3. 若因违约导致项目无法继续进行，违约方应承担全部责任，并赔偿因此给守约方造成的一切损失。
七、保密条款1. 双方应对合作过程中的商业秘密进行严格保密，未经对方同意，不得向第三方泄露。

Business Contract
This contract outlines the terms of cooperation between ___________________ (referred to as
“China 100”) and ___________________ (referred to as “U.S. Manager”), beginning on _____________
and concluding on such date as meets the requirements of termination set below. China 100 and U.S.
Manager hereby agree in good faith to cooperate in the establishment, maintenance, and growth of
advertising specialty supplier storefronts and related pursuits.
Duties.
U.S. Manager is responsible for:
Hiring, training, and managing customer service representatives (CSRs) and outside sales agents.
Ensuring that all storefronts are staffed via phone and e-mail during non-holiday working hours.
Arranging payment of storefront membership accounts and staff salaries.
Managing logistics directly necessary for the work of CSRs and outside sales agents.
Preparing and delivering financial reports as requested by China 100 or his/her managing agents,
no less than once per month, on the last Friday of each month.
China 100 is responsible for:
Hiring, training, and managing sales and sourcing agents.
Ensuring that agents and representatives are available and responsive via e-mail communication.
Arranging payment of all costs not claimed by U.S. Manager, including but not limited to sales
losses, legal costs, and website maintenance fees.
Managing all other sales, financial, and operational logistics.
Preparing and delivering financial reports to U.S. Manager each Friday.
Compensation.
China 100 shall pay wages to U.S. Manager at least once a month, on the first (1st) of each month.
For the first three months of this agreement China 100 will pay $1000/month to U.S. Manager.
For each new storefront, China100 will pay a one-time set-up fee of $250 to U.S. Manager.
For each storefront, each month, China 100 will pay half (50%) of storefront’s membership fees
to U.S. Manager.
For each storefront, the monthly compensation will be as follows:

For sales made by U.S. Manager’s outside sales agents, China 100 will pay U.S. Manager 5% of
each sale made.
Property Rights.
China 100 and U.S. Manager agree not to release or disclose mutually sensitive information to
outside parties in any manner. This includes but is not limited to proprietary information such
as marketing strategies, operations, and the names or contact information of clients.
To the extent that either party feels the need to disclose such information, they may do so with
the written consent of the other party.
Upon termination of this contract, U.S. Manager and his/her employees shall relinquish all client
records and account information to China 100. At such point, U.S. Manager and his/her
employees may accept, but not solicit, previously shared customers for business pursuits in
direct competition with China 100.
Mediation.
China 100 and U.S. Manager agree to first mediate and may then submit to binding arbitration
any claims that they may have against each other, of any nature whatsoever, other than those
prohibited by law.
Termination.
Neither party may terminate this contract or withdraw services without discussion with and
agreement from the other party.
Termination of this contract may occur at any date mutually agreed upon by both parties.
A one-sided termination of this contract is permissible under extenuating circumstances if the
terminating party gives a 20-day notice of intent.
