E. 保密义务E.1 保密义务本合同订立前以及在本合同期限内，一方（"披露方"）曾经或者可能不时向另一方（"接受方"）披露该方的保密资料。
在本合同期限内以及随后[·]年间，接受方必须：(a) 对保密资料进行保密；(b) 不为除合同明确规定的目的之外的其他目的使用保密资料；(c) 除为履行其职责而确有必要知悉保密资料的该方或其关联机构雇员、该方律师、会计师或其他顾问外，不向其他任何人披露，且上述人员须已签署书面保密协议，其中条款的严格程度不得低于本第E 条的规定(合称"允许披露方"）。

E.3 规章制度每一方应制订相应的规章制度，告知该方（以及该方的关联机构）董事、高级职员以及其他雇员本第E 条规定的保密义务。
E.4 资料返还在合同期满日，[或经披露方随时提出要求]，接受方应：（1）向另一方归还（或经另一方要求销毁）包含另一方保密资料的所有材料（包括其复制件），并且（2）在另一方提出此项要求后十（10）日内向另一方书面保证已经归还或销毁上述材料。

H. 争议的解决H.1 友好协商如果发生由本合同（或其违反、终止或者无效）引起或者与其相关的争议、纠纷或者索赔（统称"争议"），双方首先应争取通过友好协商来解决争议。
H.2 仲裁[ 选择以下两种方式之一][选择（1）中国国际经济贸易委员会仲裁(a) 如果某一争议未在一方首次书面提出进行磋商之日后六十(60)日内通过友好协商解决，则任何一方可将该争议提交中国国际经济贸易仲裁委员会("贸仲会")在[北京]按照当时有效的贸仲会仲裁程序规则（并由本第H.2 条规定作为修订）("仲裁规则")进行仲裁。
(b) 仲裁庭应由三名仲裁员组成，其中双方各指定一名，如果任何一方不能在仲裁规则具体规定的时间内指定一名仲裁员，贸仲会主任将参考本合同第H.2 条载明的标准指定仲裁员。
(c) 第三名仲裁员（"首席仲裁员"）应由双方协议指定，且如双方在仲裁规则规定的具体时间内仍未能达成该协议确定第三名仲裁员，则贸仲会主任应参考本合同第H.2条载明的标准指定该仲裁员。
