公益事业捐赠法第三条的内容、主旨及释义一、条文内容：本法所称公益事业是指非营利的下列事项：(一)救助灾害、救济贫困、扶助残疾人等困难的社会群体和个人的活动；(二)教育、科学、文化、卫生、体育事业；(三)环境保护、社会公共设施建设；(四)促进社会发展和进步的其他社会公共和福利事业。
二、主旨：本条是对公益事业的含义的规定。
三、条文释义：公益事业，顾名思义，是指有关公共利益的事业。
本法所指的公益事业还有其特定的含义。
首先，公益事业应当是非营利的。
国家为了鼓励兴办公益事业，对于公益事业的捐赠给予税收等方面的优惠措施。
公益事业捐赠的受赠人不能利用捐赠财产从事以营利为目的的活动，否则既违背捐赠人的意愿，而且也是违法的。
其次，公益事业要求其受益人是不特定的人群，即受益人既不能是某个特定的个人，也不能是某个特定的团体或人群，凡是符合公益性社会团体和公益性非营利的事业单位依法成立时所确定的公益目的的人，都可以成为受益人。
也就是说，受益人不能是一个封闭的团体或人群，受益人应当是一个普遍的、开放的概念，所有符合条件的人都可以成为受益人。
第三，公益事业应限于本条规定的事项。
国家鼓励公益事业的发展，向公益事业捐赠的个人和企业以及其他组织都能享受到税收等方面的优惠。
但如果捐赠人向法律规定的公益事业以外的事项捐赠，就无权享受本法规定的优惠。
因此，对于公益事业包括哪些事项，应当予以明确的界定。
对此，世界上一些国家如美国、德国是在税法中作出规定的。
美国国内税收法第502(C)(3)节规定，公益事业团体是以推进宗教、慈善科学文化、公共安全测试、教育事业的发展，保护儿童、动物不受虐待，资助国际、国内业余体育竞技比赛为宗旨而成立的非营利公司、共同基金会、特别基金会、财团基金会等。
德国税务法典规定，所谓公益是指在物质、精神或道德领域无私地资助公共事业。
对公共事业的资助必须是普遍性的，即不能局限于封闭的、有限的人群。
该法典第52条还特别列举了一些公益事业，它们是：科研、教育、文化艺术、宗教、民间交流、发展援助、环境和农业等，另外还有包括青少年和老年人援助、公共健康事业、福利事业和体育。

Abstract
By using case study and “history and event analysis” methods, the paper probes the business donation field which is structured by three fundamental habits, such as donation-driven, donation-area and donation-supervise. Through analyzing on the habits of 212 donation events collected from 30 enterprises, this paper finds that the donation field of multinational companies differs from that of domestic companies. The donation of multinational companies is mainly driven by inner motivations and flows to the areas related to the stakeholders, whereas the donation of domestic enterprises is mainly driven by outer mobilizations and flows to the areas related to the non-stakeholders. It is concluded that the donation field of multinational companies is a structuralized process of their networks production, while that of domestic enterprises belongs to the expression of charity.

本研究采用个案访谈和“过程——事件分析”的研究策略，以捐赠动因、捐赠指向和捐 赠管理为三个惯习构建公司的捐赠场域，通过对 212 宗关键捐赠事件的相应惯习进行定性和 定量分析发现，跨国公司与民族企业的捐赠场域显著不同，跨国公司的捐赠主要受企业主体 意识驱动并指向关系利益人群体，捐赠惯习之间高度相关，是网络生产的结构化；而民族企 业的捐赠主要表现为受外部动员驱动并指向非利益关系人，捐赠惯习之间无相关，是传统慈 善的表达。

一、研究背景和问题的提出
近半个世纪以来，经济全球化的加速发展日益彰显出跨国公司举足轻重的地位，对跨国 公司海外捐赠的研究也引起了独特的关注。根据波士顿大学公司与社区关系研究中心的资 料，超过 50%的财富杂志 500 强公司开始或增加它们的海外捐赠。由其带来的问题是，跨 国公司在本土的社会捐赠大幅减少，而在海外新兴市场的社会捐赠却大幅增加（Craig Smith， 1996）。在中国，伴说着外来资本的抢滩，跨国公司对中国发展的影响力不仅表现在经济领 域，而且渗透到社会部门，一些跨国公司在最近短短几年内的社会捐赠总额达到了十多亿元， 成为社会干预的重要力量。
捐赠（donation）的定义有多种，韦伯斯特大学词典（Merriam-Webster's Collegiate Dictionary）将其定义为“为公众福利特别是慈善目的所作的赠予行为”。公司捐赠（business donation）在中国的官方定义是指企业自愿无偿将其有权处分的合法财产赠送给合法的受赠 人用于与生产经营活动没有直接关系的公益事业的行为1。一般认为，公司捐赠是企业家慈 善或企业法人承担社会责任的一种方式，但是在全球一体化的今天，这显然不能成为解释跨 国公司大幅向海外转移捐赠资源的理由。跨国公司是因为对海外民族具有更大的同情心而将 社会捐赠资源转移到了海外，还是因为跨文化经营模式的需要而将社会捐赠与企业的扩张更 加紧密结合起来，同时民族企业的社会捐赠是否已经产生协变是值得探讨的重要问题。该问 题的研究不仅可以实证解释企业捐赠行为的新变化，而且可以为揭示全球一体化过程中企业 组织的变迁和社会福利重组提供有价值的启示。另外，作为跨国资本和公司捐赠输入地的中 国，也为研究跨国公司和民族企业在社会捐赠和企业扩张关联方面的差异提供了契机。
二、理论背景、研究假设和方法

关于公司捐赠场域、公司法人网络及其生产，国内外学者的相关论述对本研究大有裨益。 法国社会学家皮埃尔·布迪厄（Pierre Bourdieu）提出了资本化的文化理论，场域与惯 习是其理论的两个核心概念。场域是为实现利益和获得资源进行争斗的各种维度，一系列彼 此重叠的场域构成人类的社会空间。它形成自己的惯习并且支持一套明确的信念。惯习是一 种被社会化了的主观性结构，它与场域相互形塑（Bourdieu，1会福利领域，提出社会福利场域是由许多亚场域组成的结构的概
