第五条与出口合同有关的违约、索赔1.外商违约：当外商未能履行其相应义务时，甲方应及时将上述情况通知乙方，并向乙方披露该外商，乙方可以行使甲方对外商的权利并对其提出索赔，甲方应当向乙方提供必要之协助;如乙方委托甲方索赔的，应当在有效索赔期限内提交必要的索赔证件;如乙方委托并提供相应仲裁或诉讼费用的，甲方应依出口合同之规定对外提起仲裁或诉讼。
上述索赔或仲裁、诉讼产生之利益或损失，由乙方享有或承担。
2.如乙方违约致使甲方未能对外商履行义务的，甲方有权向外商披露乙方;如甲方因此对外商或承运人承担违约责任或受到其他损失，乙方应负责赔偿。
第六条违约责任本合同任何一方不履行本合同义务或履行合同义务不符合约定的，应当赔偿对方因此而受到的损失;但甲方因外商或承运人违约而不能按照本合同的规定履行其义务的不属违约，甲方不承担违约责任，且乙方应当自行承担其因此而受到的损失。
第七条不可抗力甲、乙任何一方由于不可抗力不能履行合同时，应在不可抗力解除后3日内向对方通报不能履行的理由，在提供政府主管部门出具的不可抗力证明后，根据情况可延期、部分或全部不履行合同，同时部分或全部免于承担违约责任;但如果甲方未能因不可抗力免除对外商的责任时，乙方应赔偿甲方因此而受到的损失。
第八条适用法律及争议解决1.本合同未尽事宜，依照《中华人·民共·和国合同法》的相关规定处理。
2.与本合同有关的任何争议，均由双方协商解决，协商不成，应提交甲方所在地人·民法院诉讼解决。
第九条合同生效及其他1.本合同经甲、乙双方授权的代表签字、加盖公章后生效。

不可抗力情况是指双方不能预见或预测的由于非常事件而出现的情况，即：影响履行所承担义务的火灾、风暴、地震和其他自然现象，以及战争、任何性质的军事行动，各国政府的封锁与制·裁等。
