根据《中华人民共和国合同法》、《中华人民共和国城市房地产管理法》及其他有关法律、法规之规定,在平等、自愿、协商一致的基础上,甲、乙双方就下列厂房的租赁达成如下协议：

In acｃoｒdaｎcｅwiｔh tｈe “Contｒact Lawｏf thｅPeｏplｅ’s Ｒｅpubliｃof Chｉna”, tｈｅ“Propｅrty Mａnaｇement Law of Cｉty Rｅal Estaｔｅof the Pｅople’s Repｕｂliｃof Chiｎa” ａnｄoｔｈｅｒreｌevａnｔlaws aｎd ｒｅguｌaｔions,Ｐａrty A and Paｒty B, on the ｂaｓis of eｑuａlity and mutual undeｒｓtandｉng aｎｄtｈｒｏｕｇｈfｒiendly nｅg ｏtiａtion，ｈａve rｅａｃheｄthe ｆolｌowing agｒeｅmｅnｔon thｅleaｓｅof ｔhｅp ｒｅmｉses:

第一条ﻩ房屋的基本情况

甲方厂房(以下简称“厂房”）座落于-－－-，总建筑面积为-----平方米；该厂房平面图参见附件１。

ＰartｙA’s prｅｍｉses (hereｉｎafter referred ｔｏasｔhe“Premiseｓ”）are located at ---Road；totaｌbｕiｌt-ｕp area is －--- ｓqｍ．PｌｅasｅreｆerｔｏAnnｅｘ1 for thｅplan oｆthe Prｅmiｓeｓ．

该厂房应已具备所有必要的硬件设施(包括水管道,电线及电话线）以供乙方使用。

TheＰremiｓes sｈall be equipｐeｄwitｈalｌｔhe nｅcｅsｓaｒy harｄware faｃilｉtieｓ

(ｉncｌuding ｗaｔer piｐes, ｐｏwer ｌineｓand phｏnｅlｉnes) ｉnstａｌlｅｄinsｉde thｅprｅmise ｔo bｅｕseｄｆor Pａｒty B.

甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。

Ｐａrty A ｒepreｓents ａｎd ｗarrants to Party B ａnd NeｗCo tｈatｉt is the soｌe le ｇaｌowner of the Pｒeｍiseｓaｎｄthat, ｉn the ｅvent ｏｆ a morｔgaｇe or ａnyｏther ｓimilａｒguaｒantees in connection wｉtｈtｈe Ｐreｍises taｋinｇplａcｅ，Ｐarty B’s ｒights andｉnｔereｓts puｒsｕaｎt to ｔhis agｒeemenｔｓhall not ｂe damaｇｅd in anｙmanner wｈａtsoever.

第二条厂房的用途

Cｈapter 2ﻩUse ｏf the Prｅmｉses

该厂房用途为工业厂房,乙方不得任意改变厂房用途。

The Ｐｒemiｓｅs sｈould be uｓｅｄfｏｒinｄustrial ｐurpose．Party B shｏulｄnot c ｈａnge tｈe use of the Prｅmisｅs aｔiｔs owｎwill．

第三条租赁期限

租赁期限为-－－年,自新公司获得营业执照或项目批准证书之日起计算。

第四条ﻩ租金
