The Tenant (hereinafter referredto as“Party B“)_______________.,on behal fof its Wholly Foreign Invested Enterprise tobeestablished in China (hereinafter referredtoas“NewCo”) with a registered capital ofUS$_______________.

根据《中华人民共和国合同法》、《中华人民共和国城市房地产管理法》及其他有关法律、法规之规定,在平等、自愿、协商一致的基础上,甲、乙双方就下列厂房的租赁达成如下协议:

In accordancewith the “Contract Lawof thePeople’s Republicof China”, the“Property Management Law of City Real Estateof the People’s Republicof China” andotherrelevantlaws and regulations,Party A and Party B, on the basis of equality and mutual understanding andthroughfriendly neg otiation,have reachedthe following agreementon theleaseof thep remises:

第一条ﻩ房屋的基本情况

Chapter 1ﻩBasicInformationon the Premises

甲方厂房(以下简称“厂房”)座落于----,总建筑面积为-----平方米;该厂房平面图参见附件1。

PartyA’s premises (hereinafter referred toasthe“Premises”)are located at ---Road;totalbuilt-up area is ---- sqm.PleaserefertoAnnex1 for theplan ofthe Premises.

该厂房应已具备所有必要的硬件设施(包括水管道,电线及电话线)以供乙方使用。

ThePremises shall be equippedwithallthe necessary hardware facilities

(including water pipes, power linesand phonelines) installedinside thepremise to beusedfor Party B.

甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。

Party A represents and warrants to Party B and NewCo thatit is the sole le galowner of the Premisesandthat, in the event of a mortgage or anyother similarguarantees in connection withthe Premises takingplace,Party B’s rights andinterests pursuant to this agreementshall not be damaged in anymanner whatsoever.

第二条厂房的用途

Chapter 2ﻩUse of the Premises

该厂房用途为工业厂房,乙方不得任意改变厂房用途。

The Premises should be usedforindustrial purpose.Party B shouldnot c hange the use of the Premises atits ownwill.

第三条租赁期限

Chapter3ﻩLease Period

租赁期限为---年,自新公司获得营业执照或项目批准证书之日起计算。

The durationof the lease periodshall be ----years, starting from the day of issuance of New Company business license orCertificate of Approval.

第四条ﻩ租金

Chapter 4 Rental

4.1该厂房第一到三年的租金为人民币12元/平方米/月,计人民币__________元/月,人民币__________元/季,人民币__________元/年。之后,每三年商定的递增不得超过___%。Forthe first three years during the lease term, the rental ofthePremisesis RMB12/sqm/month.The total rentalis RMB_________/month,RMB_________/quarterand RMB__________/year.
