XX有限公司XXXXX合作协议Cooperation Agreement年月甲方:XX有限公司(以下简称甲方)Party A:XXXXX.联系地址:Address:乙方:(以下简称乙方)Party B: ((Hereinafter referred to as Party B))联系地址:Address:经销商商务注册登记号:Distributor commercial registration number:甲方授权乙方开展业务的区域:Territory for distributor authorized to Party B:经过甲乙双方友好协商,甲方同意授权乙方在授权区域内为其合法授权经销商,销售甲方产品,并在授权区域内客户提供服务,甲乙双方一致同意按照本协议中的条款进行合作,双方约定如下:After friendly negotiation between Party A and Party B, Party A agrees to authorize Party B as its legally authorized distributor to sell Party A’s _______products, and to provide service for customers in the territory. Both Party A and Party B agree to cooperate in accordance with the terms and conditions of this agreement mutually agreed upon as follows:第一条定义1. Definition1.经销商,在甲方授权范围内进行市场拓展,品牌推广,客户服务等相关业务的合法的机构和组织;a.Distributor, refers to legal institutions and organizations which is authorizedby Party A to represent Party A for Business development, Brand promotion, Customer service and other related activities.2.产品:是指由甲方生产或提供给乙方的指定产品;modities: the Commodities referred to are ones produced by Party A orones provided to Party B;3.协议:指本经销合作协议及其所有附件;c.Agreement: refers to this distributor cooperation agreement and all itsattachments;4.通知:指电子邮件或纸质信函;d.Notice: refers to Email or paper letter.5.合法授权经销商:必须持有甲方颁发的,在有效期内的经销商授权证书。

e.Legally authorized distributor: must hold the distributor authorizationcertificate issued by Party A within the validity period.第二条经销权2. Distributorship1.根据本协议,乙方只能以签订本协议所使用的公司名称在甲方授权经销的区域内销售甲方产品a.According to this Agreement, Party B should sell Party A authorizedproducts in the authorized territory only by the company name shown in this agreement, no other company name is allowed.2.乙方在事前未得到甲方书面授权的情况下,不得在未经甲方授权经销区域及授权行业以外直接或间接经销产品和提供相关服务,也不得向有此意图的公司或个人销售此类产品。

b.Without written authorization from Party A ahead of time, Party B shall notdirectly or indirectly distribute products and provide related services outside the distribution territory and authorized industry, and shall not sell such products to companies or individuals with such intent.3.乙方同甲方紧密配合,在市场上防止和举报伪造品的流通。

同时乙方积极配合甲方在合约期内业绩目标的达成。

c.Party B works closely with Party A to prevent and report the circulation ofcounterfeit products in the market. At the same time, Party B activelycooperates with Party A in achieving Party B's performance goals during the contract period.4.在执行此协议时,经销商应被视为独立企业,其股东、管理人员、其雇员均不能被视为甲方的经销人、雇员或法律上的合资方。

In the implementation of this agreement, the distributor shall be regarded as an independent enterprise, and its shareholders, management personnel and employees shall not be regarded as Party A’s distributors, employees, or legal joint venture parties.5.乙方可以在授权区域以及授权经销行业内使用或复制包括甲方公司标志、网络链接、产品图片、产品数据等在内的相关内容。

Party B may use or copy including Party A's company logo, website links, product pictures, product data and other contents in authorized areas and authorized distribution industries.6.甲方保留对乙方的任何违反本合约中约定的产品,行业以及区域的范围的使用甲方商标及标识的行为进行(包括但不限于法律手段)追究的权利。

Party A reserves the right to pursue (including but not limited to legal means)for the behaviors of using the trademarks and logos of Party A for any product, industry and territory that violates this agreement.第三条甲方的职能与责任3. Party A's functions and responsibilities1.甲方负责全球性的产品宣传与推广,并对乙方人员进行必要的专业培训。

a.Party A is responsible for global product promotion and necessaryprofessional training for Party B personnel.2.在本协议有效期内,甲方向乙方提供品牌宣传,市场推广,联合拜访客户等市场及业务拓展的支持。

b.During the validity period of this agreement, Party A will provide Party Bwith market and business support such as brand promotion, marketing, and joint visits with customers.双方不得泄露彼此经营活动中的商业秘密。

在协议确定签约之前,乙方须提供目前接触客户清单进行备案。

在协议有效期内,甲方不得在经销协议授权的产品、客户群体和区域内越过乙方直接或者通过任何第三方间接接洽客户(除国际主机厂,跨国能源公司外国总部直接在乙方国家发出的采购或者标案,不包括在本协议中)。

Both parties shall keep each other’s business confidential information strictly. Before sign the agreement, Party B shall supply current customer list to Party A and update regularly, during the valid time of this agreement, Party A shall not make sales of authorized products directly or via any third parties to Party B’s customer (Except international OEM companies, international energy companies who place the purchasing orders or tenders directly in Party B’s territory, these are not business include Party B in the agreement).3.甲方对产品的质量负责,承担自发货后90天起2年的标准质保和相关产品责任保险,但是甲方不承担所有非甲方产品质量原因造成的包括但不限于产品损失,人身损害或财产损失等相应损失。

c.Party A is responsible for the quality of the product and bears a 2-yearstandard warranty and related product liability insurance from 90 days after delivery, party A shall not be liable for any loss not attributable to thequality of Party A's products, including but not limited to, product loss,personal injury or property loss.4.甲方应根据乙方按照甲方生产规划提出的购买要求,及时并准确向乙方供货,如因甲方原因造成延误交付,甲方将承担相应的责任和损失,不可抗力因素造成的延误不包含在此条款中。
