Definitions and Interpretation1.1 The following terms shall have the meanings specified below:"Contract" - the contract between the Employer and the Contractor, which includes the letter of acceptance and the terms and conditions set out in this document, together with any amendments thereto."Employer" - the party who employs the Contractor to carry out the Works."Contractor" - the party who accepts the employment of the Employer to carry out the Works."Works" - the permanent works to be carried out by the Contractor under the Contract, including any goods and services to be provided by the Contractor."Project" - the project to which the Works relate."Party" - either the Employer or the Contractor."Third Party" - any person or organization other than the Parties to the Contract.1.2 Interpretation of terms:(a) The singular includes the plural and vice versa.(b) Words importing persons include firms, companies, organizations, associations and partnerships.(c) The term "include" or "including" means "include, but not limited to".(d) The term "payment" means payment in full and final settlement.2. The Contract2.1 The Contract shall be deemed to have been made on the date of issuance of the letter of acceptance by the Employer to the Contractor, and thereafter all references to "the Contract"shall be deemed to include the letter of acceptance and this document, together with any amendments thereto.2.2 The Contract shall be subject to the laws of the country in which the Works are to be carried out, and to any other applicable laws, regulations and orders now or hereafter in force.2.3 The Contract shall be binding on both Parties and their respective successors and assigns, provided that neither Party may assign its rights or obligations under the Contract without the prior written consent of the other Party.3. Employment of the Contractor3.1 The Employment of the Contractor by the Employer is subject to the following conditions:(a) The Contractor shall carry out the Works under the supervision and direction of the Engineer appointed by the Employer.(b) The Contractor shall comply with all applicable laws, regulations and orders now or hereafter in force, and shall obtain any necessary licenses or approvals from any governmental or other authority.(c) The Contractor shall provide all necessary equipment, materials, tools, labor and supervision for the proper execution of the Works in accordance with the Contract documents.4. Rights and Obligations of the Parties4.1 Rights of the Employer:(a) The Employer has the right to review and approve (or disapprove) any proposed changes to the design or method of construction by the Contractor, provided that such changes do not alter the fundamental nature of the Works or increase the overall cost to the Employer.(b) The Employer has the right to review and approve (or disapprove) any proposed subcontracting arrangements by the Contractor, provided that such subcontracting does not affect the quality or performance of the Works or introduce any additional risk to the Employer.4.2 Obligations of the Employer:(a) The Employer shall provide a site office and accommodation for the use of the Contractor's staff and shall bear all costs related thereto.(b) The Employer shall reimburse the Contractor for any reasonable expenses incurred by the latter in connection withtraveling to and from the site, provided that such expenses are approved by the Engineer.4.3 Rights of the Contractor:(a) The Contractor has the right to review and comment on any proposed changes to the design or method of construction by the Employer, provided that such changes do not alter the fundamental nature of the Works or increase the overall cost to the Contractor.(b) The Contractor has the right to review and comment on any proposed subcontracting arrangements by the Employer, provided that such subcontracting does not affect the quality or performance of the Works or introduce any additional risk to the Contractor.(注:由于菲迪克合同条款较为繁杂,此处仅提供部分条款作为示例,实际合同可能包含更多详细内容和条款。

design-build,以下简称“新黄皮书”)、《设计采购施工(EPC)/交钥匙工程合同条件》(conditions of contract for EPC/Turnkey projects,以下简称“银皮书”)、《简明合同格式》(short form of contract,简称“绿皮书”).它们都是FI DIC在详细的调查研究与试点基础上新推出来的,是FI DIC合同条件体系的最新发展,反映了当前国际工程承包市场的主要承发包方式和项目管理模式.在国际工程承包招标采购方面,FI DIC合同条件是目前世界上应用最广,影响最大的国际通用合同条件之一,业已成为国际土木建筑行业的具有国际权威的标准范本.在我国加入世界贸易组织之后,工程建设施工及设计企业面临与国际接轨,参与国际竞争的新形势,对我们在熟悉并准确应用相关领域的国际通用规则,尤其是FI DIC合同条件方面提出了更高的要求.结合我国公路建设市场的实际,下面主要就新版《施工合同条件》的特点以及其相应的FI DIC《土木工程施工合同条件》(1987年版)(也就是我们常说的FI DIC条款,以下简称“红皮书”)作一比较.1 新版条款适用范围扩大化“新红皮书”名称的改变决不是为了简化,而在于它不只是适用于土木工程施工,还可用于房屋建筑、机械、电气等多类工程的施工.并且特别适合于传统的“设计-招标-建筑(Design2Bid2C onstruc2 tion)”建设履行方式.此类项目一般建设规模比较大,复杂程度高,并由业主或其代表工程师设计,通过竞争性招标选择承包商,按照权、利、风险公平分担原则,由承包商在监理工程师按照合同、公正的监督管理下依照业主提供的设计进行施工;但也可包含承包商设计的土木、构筑物等的某些部分.2 新版条款框架结构的改进与统一“新红皮书”不是在“红皮书”的基础上修改而是重新进行了编写.表现在结构上,就是放弃了“红皮书”的25节,72条,194款的框架,而是继承了FI DIC1995年出版的“桔皮书”的基本模式:通用条款部分分为20条(共163款),并取消了“红皮书”中没有编号的“节”;布局上进行了整合,使条款的标题以至部分条款的内容能一致的尽可能一致,突出了相关性与易用性.而且,“新红皮书”、“新黄皮书”、“银皮书”做到内容分类、条款设置、位置及表述的大部分统一,都包含以下三部分:通用条件、专用条件编写指南和投标函、合同协议书、争端裁决协议书格式.对于能够运用多种方式承包工程的承包商来说,为其分析和Ξ收稿日期:2002-11-06作者简介:张桂峰(1975-),男,山东招远人,硕士生,主要研究公路工程施工管理与决策方面的工作.比较不同合同条件文本提供了极大的方便,对工程承包方式的决策有着积极作用.3 新版条款的条款内容有较大的修改 和补充 据初步统计,“新红皮书”完全采用“红皮书”内容的只有33款.对条款的内容做了补充或较大修改的有68款,如将“红皮书”中的合同价格改为中标合同金额(1.1.4.1,该数字为“新红皮书”中该条款的编号,下同),而将实际发生、支付的款额定义为合同价格(1.1.4.2);增加了规范、图纸等而细化了文件的优先次序(1.5);文件由工程师保管改为由业主保管(1.8);履约担保由缺陷责任证书发出后14天内退还改为在业主收到履约证书副本后21天内退还(4.2);变更工程量的限定由±25%变为±10% (12.3)等.而新编的则有62款,如新增确定(3.5)、估计(12.3)、变更权(13.1)、变更程序(13.3)、结清证明(14.12)等.再如“新红皮书”中对关键词的定义分六类编排,并增加到58个(“红皮书”只有32个),其中有30个是“红皮书”所没有定义的,如增加了DAB(争端裁决委员会)(1.1.2.9)、不可抗力(1.1.6.4)、不可预见(1.1.6.8)等.从中可以看出变化之大.4 新版条款在编写指导思想上突出了 灵活性与易用性 “红皮书”是在专用条件中编入特殊情况的条款,而“新红皮书”是尽可能的在通用条件中作出全面而细致的规定,如开工日期的确定(8.1)、进度计划的提交时间(8.3)、调价公式(13.8)、预付款(14.2)以及有关劳务的某些具体规定等均被纳入了通用条件,使其适用于大多数合同.这样,如果通用条件中的某一条款并不适用于实际项目,可以简单的将其删除而不需要在专用条件中特别说明,更用不着在专用条件中另行编写.5 作为FIDIC条款的本质,权利、义 务和风险的分配在新版条款中得 到更好的体现5.1 对业主方面:“新红皮书”对业主的职责、权力和义务有了更严格的要求.增加或修改的主要有:(1)业主资金安排与支付方面:按照合同向承包商支付工程款是业主最主要的义务,在“新红皮书”中要求业主事先作好到期能够按时支付合同价格款额的资金安排(2.4);在专用条款中规定了在承包商带资承包的条件下,业主应向其提供“支付担保”;并且在付款种类及支付时间上也进行了详细规定(14.7).从而有利于承包商在付款方面防范资金风险.(2)雇佣监理工程师方面:在业主对监理工程师的权力方面加以进一步限制,甚至撤掉监理工程师时必须得到承包商的同意.限制了业主在这方面的随意性(3.1、3.4).(3)业主违约方面:增加了具体的业主违约条款,此时承包商可以解除合同(如1.6、1.7)等.(4)其它方面:业主应对基准点、线、标高的错误负责(4.7),而不再像“红皮书”规定的由承包商负责等.5.2 对承包商方面:对承包商的工作要求进行了补充、修改或细化.具体体现在:(1)质量控制方面:主要是通过建立质量保证体系与加强对工程的检验来进行的.(a)“新红皮书”新增要求承包商按合同建立一套质量保证体系,在每一项工程的设计和实施阶段开始前,均应将所有程序的细节和执行文件提交给监理工程师以获得批准(4.1、4.9).其实质是强制执行IS O9000质量保障体系.(b)另一方面是通过检验来保证质量.这方面比“红皮书”更严格.如业主有权在产地检验原材料,查验施工工艺等(7.3);对有缺陷的工程设备移出现场修理时,承包商应增加履约担保或提供其它担保等.(2)进度控制方面:增加了承包商应编制详细的月进度报告,由于报告内容很全面,对承包商的管理工作提出了更高的要求(4.21).(3)费用控制方面:在申请期中付款证书时,除了提交应得款项的详细报表外,还要求提供月进度报表等证明文件(14.3);在提交最终报表时,还要提交一份结清证明(14.12)等.(4)合同管理方面:增加了当发生工程合理延期时,如现场进入权(2.1),承包商除了可以索赔工期和费用外,还有权追回合理的利润损失,这是一个性质上的明显改进.并且,每一方都有义务使工程延误减至最小(19.3).细化了在何种条件下业主将没收履约担保(4.2).(5)增加了安全程序(4.8):要求对现场人员、未完工和未移交的工程以及对附近公众的安全负27重庆交通学院学报 第22卷责.(6)进一步强调承包商必须加强环境保护(4.18),突出了可持续发展的原则,逐步使人们认识到实施IS O14000环境管理体系的必要性与重要性.(7)其它方面:如明确规定在开工日期前应向监理工程师提交承包商代表资料(4.3),应每月填报现场承包商人员人数、设备等详细资料(6.10)等.5.3 对监理工程师方面对监理工程师的职权也作了更为严格而明确的规定,提出了更高的要求.如对监理工程师的行为公正进行了细化(3.5、14.6、14.13);监理工程师的口头指示确认期限由“红皮书”的7天变到2天(3.3);对承包商进度计划的审批期限明确规定为21天(8.3);工程和分项工程的接收证书签发(10.1);对承包商的索赔报告必须在一定期限作出回应(20.1)等.另外,在“新红皮书”中,第一次从合同的角度明确了监理工程师是为业主工作的,而不只是要行为公正(1.1、2.4、3.1),加强了业主直接干涉工程施工的思想(再如7.3).6 索赔方面的修改索赔和反索赔一直是条款中合同管理的重点,也是监督合同实施的核心手段.在“红皮书”中增加了索赔程序,在“新红皮书”中又增加了与索赔有关的条款并丰富了细节.主要有:1.首次明确了业主享有与承包商相同的向对方索赔的权力,这就为业主索赔提供了合同依据(2.5).2.在承包商索赔方面限制更严格:需承包商按合同要求提供详细索赔资料,否则将引起业主索赔(20.1).3.在监理工程师方面:要求对承包商的索赔不能再像以往那样不置可否,并要求监理工程师在收到承包商索赔报告42天内或双方商定时限内作出批准或不批准的答复,并附具体意见(20.1).7 争端解决方面争端解决方式发生了明显变化,加入DAB (争端裁决委员会)及其工作程序,用由3人组成的委员会来替代“红皮书”中依靠工程师解决争端的作用.8 其 它在措辞上比老版本简练,句子结构也相对简单清楚,因此更通俗易懂.由于FI DIC General Conditions 1. General Provisions1.1 Definitions In the Conditions of Contract ("these Conditions"), which include Particular Conditions and these General Conditions, the following words and expressions shall have the meanings stated. Words indicating persons or parties include corporations and other legal entities, except where the context requires otherwise.1.1.1The Contract 1.1.1.1"Contract" means the Contract Agreement, the Letter ofAcceptance, the Letter of Tender, these Conditions, theSpecification, the Drawings, the Schedules, and thefurther documents (if any) which are listed in the ContractAgreement or in the Letter of Acceptance.1.1.1.2"Contract Agreement" means the contract agreement (ifany) referred to in Sub-Clause 1.6 [Contract Agreement].1.1.1.3"Letter of Acceptance" means the letter of formalacceptance, signed by the Employer, of the Letter ofTender, including any annexed memoranda comprisingagreements between and signed by both Parties. If thereis no such letter of acceptance, the expression "Letter ofAcceptance" means the Contract Agreement and the dateof issuing or receiving the Letter of Acceptance means thedate of signing the Contract Agreement.1.1.1.4"Letter of Tender" means the document entitled letter oftender, which was completed by the Contractor andincludes the signed offer to the Employer for the Works.1.1.1.5"Specification" means the document entitled specification,as included in the Contract, and any additions andmodifications to the specification in accordance with theContract. Such document specifies the Works.1.1.1.6"Drawings" means the drawings of the Works, as includedin the Contract, and any additional and modified drawingsissued by (or on behalf of, the Employer in accordancewith the Contract.1.1.1.7"Schedules" means the document(s) entitled schedules,completed by the Contractor and submitted with the Letterof Tender, as included in the Contract. Such documentmay include the Bill of Quantities, data, lists, andschedules of rates and/or prices1.1.1.8"Tender" means the Letter of Tender and all otherdocuments which the Contractor submitted with the Letterof Tender, as included in the Contract.1.1.1.9 "Appendix to Tender" means the completed pages entitledappendix to tender which are appended to and form partof the Letter of Tender.1.1.1.10 "Bill of Quantities" and "Day work Schedule" mean thedocuments so named (if any) which are comprised in theSchedules.1.1. 2Parties and Persons 1.1.2.1 "Party" means the Employer or the Contractor, as thecontext requires.1.1.2.2 "Employer" means the person named as employer in theAppendix to Tender and the legal successors in title to thisperson.1.1.2.3 "Contractor" means the person(s) named as contractor inthe Letter of Tender accepted by the Employer and thelegal successors in title to this person(s).1.1.2.4 "Engineer" means the person appointed by the Employerto act as the Engineer for the purposes of the Contractand named in the Appendix to Tender, or other personappointed from time to time by the Employer and noted tothe Contractor under Sub-Clause 3.4 [Replacement of theEngineer].1.1.2.5 "Contractor's Representative" means the person namedby the Contractor in the Contract or appointed from timeto time by the Contractor under Sub-Clause 4.3[Contractor's Representative], who acts on behalf of theContractor.1.1.2.6 "Employer's Personnel" means the Engineer, theassistants referred to in Sub-Clause 3.2 [Delegation bythe Engineer] and all other staff, labour and otheremployees of the Engineer and of the Employer; andany other personnel notified to the Contractor, by theEmployer or the Engineer, as Employer's Personnel. 1.1.2.7 "Contractor's Personnel" means the Contractor'sRepresentative and all personnel whom the Contractorutilises on Site, who may include the staff, labour andother employees of the Contractor and of eachSubcontractor; and any other personnel assisting theContractor in the execution of the Works.1.1.2.8 "Subcontractor" means any person named in the Contractas a subcontractor, or any person appointed as asubcontractor, for a part of the Works; and the legalsuccessors in title to each of these persons.1.1.2.9 "DAB" means the person or three persons so named inthe Contract, or other person(s) appointed underSub-Clause 20.2 [Appointment of the Dispute AdjudicationBoard] or Sub-Clause 20.3 [Failure to Agree DisputeAdjudication Board]1.1.2.10 "FIDIC" means the international federation of consultingEngineers.1.1. 3Dates, Tests, Periods and Completion 1.1.3.1 "Base Date" means the date 28 days prior to the latestdate for of the Tender1.1.3.2 "Commencement Date" means the date notified underSub-Clause 8.1 (commencement of works)1.1.3.3 "Time for Completion" means the time for completing theWorks or a Section (as the case may be) underSub-Clause 8.2 [Time for Completion], as stated in theAppendix to Tender (with any extension under SubClause 8.4- [Extension of Time for Completion]),calculated from the Commencement Date.1.1.3.4 "Tests on Completion" means the tests which arespecified in the Contract or agreed by both Parties orinstructed as a Variation, and which are carried. outunder Clause 9 [Tests on Completion] before the Worksor a Section (as the case may be) are taken over by theEmployer.1.1.3.5 "Taking-Over Certificate" means a certificate issuedunder Clause 10 [Employer's Taking Over].1.1.3.6 "Tests after Completion" means the tests (if any) whichare specked in the Contract and which are carried out inaccordance with the provisions of the ParticularConditions after the Works or a Section (as the casemay be) are taken over by the Employer.1.1.3.7 "Defects Notification Period" means the period fornotifying defects in the Works or a Section (as the casemay be) under Sub-Clause 11.1 [Completion ofOutstanding Work and Remedying Defects], as stated inthe Appendix to Tender (with any extension underSub-Clause 11.3 [Extension of Defects NotificationPeriod]), calculated from the date on which the Works orSection is completed as certified under Sub-Clause 10.1[Taking Over of the Works and Sections].1.1.3.8 "Performance Certificate" means the certificate issuedunder Sub Clause 11.9 [Performance Certificate].1.1.3.9 "day" means a calendar day and "year" means 365days.1.1. 4Money and Payments1.1.4.1 "Accepted Contract Amount" means the amountaccepted in the Letter of Acceptance for the executionand completion of the Works and the1.1.4.2 "Contract Price" means the price defined in Sub-Clause14.1 [The Contract Price], and includes adjustments inaccordance with the Contract.1.1.4.3 "Cost" means all expenditure reasonably incurred (or tobe incurred) by the Contractor, whether on or off theSite, including overhead and similar charges, but doesnot include profit.1.1.4.4 "Final Payment Certificate" means the paymentcertificate issued under Sub-Clause 14.13 [Issue ofFinal Payment Certificate].1.1.4.5 "Final Statement" means the statement defined inSub-Clause 14.11 [Application for Final PaymentCertificate].1.1.4.6 "Foreign Currency" means a currency in which part (orall) of the Contract Price is payable, but not the LocalCurrency.1.1.4.7 "Interim Payment Certificate" means a paymentcertificate issued under Clause 14 [Contract Price andPayment], other than the Final Payment Certificate.1.1.4.8 "Local Currency" means the currency of the Country. 1.1.4.9 "Payment Certificate" means a payment certificateissued under Clause 14 [ Contract Price and Payment ].1.1.4.10 "Provisional Sum" means a sum (if any) which isspecified in the Contract as a provisional sum, for theexecution of any part of the Works or for the supply ofPlant, Materials or services under Sub-Clause 13.5[Provisional Sums].1.1.4.11 "Retention Money" means the accumulated retentionmoneys which the Employer retains under Sub-Clause14.3 [Application for Interim Payment Certificates] andpays under Sub-Clause 14.9 [Payment of RetentionMoney].1.1.4.12 "Statement" means a statement submitted by theContractor as part of an application, under Clause 14[Contract Price and Payment], for a payment certificate.1.1. 5Works and Goods 1.1.5.1 "Contractor's Equipment" means all apparatus,machinery, vehicles and the remedying of any defects.However, Contractor Equipment excludes TemporaryWorks, Employer’s Equipment (if any), Plant, Materialsand any other things intended to form or forming part ofthe pavement works.1.1.5.2 "Goods" means Contractor's equipment, Materials,Plant and Temporary Works, or any of them asappropriate.1.1.5.3 "Materials,, means things of all kinds (other than Plant)intended to form or forming part of the PermanentWorks, including the supply-only materials (if any) to besupplied by the Contractor under the Contract.1.1.5.4 "Permanent Works" means the permanent works to beexecuted by the Contractor under the Contract.1.1.5.5 "Plant" means the apparatus, machinery and vehiclesintended to form or forming part of the PermanentWorks.1.1.5.6 "Section" means apart of the Works specified in theAppendix to Tender as a Section (if any).1.5.7 "Temporary Works" means all temporary works of everykind (other than Contractor's Equipment) required onSite for the execution and completion of the PermanentWorks and the remedying of any defects.1.1.5.8 "Works" mean the Permanent Works and the TemporaryWorks, or either of them as appropriate.1.1. 6Other Definitions 1.1.6.1 "Contractor's Documents" means thecalculations, computer programs and other software, drawings, manuals, models and other documents of atechnical nature (if any) supplied by the Contractorunder the Contract.1.1.6.2 "Country" means the country in which the Site (or mostof it) is located, where the Permanent Works are to beexecuted.1.1.6.3 "Employer's Equipment" means the apparatus,machinery and vehicles (if any) made available by theEmployer for the use of the Contractor in the executionof the Works, as stated in the Specification; but does notinclude Plant which has not been taken over by theEmployer.1.1.6.4 "Force Majeure" is defined in Clause 19 [Force Majeure] 1.1.6.5 "Laws" means all national (or state) legislation, statutes,ordinances and other laws, and regulations and by-lawsof any legally constituted public authority.1.1.6.6"Performance Security" means the security (or securities, ifany) under Sub-Clause 4.2 [Performance Security].1.1.6.7 "Site" means the places where the Permanent Works are tobe executed and to which Plant and Materials are to bedelivered, and any other places as may be specified in theContract as forming part of the Site.1.1.6.8 "Unforeseeable" means not reasonably foreseeable by anexperienced contractor by the date for submission of theT ender.1.1.6.9 "Variation" means any change to the Works, which isinstructed or approved as a variation under Clause 13[Variations and Adjustments].1.2Interpretation In the Contract, except where the context requires otherwise:(a) words indicating one gender include all genders;(b) words indicating the singular also include the pluraland words indicating the plural also include thesingular;(c) provisions including the word "agree", "agreed" or"agreement" require the agreement to be recorded inwriting, and(d) "written" or "in writing" means hand-written, type-written,printed or electronically made, and resulting in apermanent record.The marginal words and other headings shall not be taken intoconsideration in the interpretation of these Conditions.1.3 CommunicationsWherever these Conditions provide for the giving or issuing of approvals, certificates, consents, determinations, notices and requests, these communications shall be:(a) in writing and delivered by hand (against receipt), sent by mail or courier, or transmitted using any of the agreedsystems of electronic transmission as stated in the Appendix to T ender; and(b) delivered, sent or transmitted to the address for the recipient's communications as stated in the Appendix toT ender. However:(i) if the recipient gives notice of another address, communications shall thereafter be delivered accordingly;and(ii) if the recipient has not stated otherwise when requesting an approval or consent, it may be sent to the address from which the request was issued.Approvals, certificates, consents and determinations shall not be unreasonably withheld or delayed. Whena certificate is issued to a Party, the certifier shall send a copy to the other Party. When a notice is issued toa Party, by the other Parry or the Engineer, a copy shall be sent to the Engineer or the other Party, as thecase may be.1.4 Law and LanguageThe Contract shall be governed by the law of the country (or other jurisdiction) stated in the Appendix toT ender.If there are versions of any part of the Contract which are written in more than one language, the version which is in the ruling language stated in the Appendix to T ender shall prevail.The language for communications shall be that stated in the Appendix to Tender. If no language is stated there, the language for communications shall be the language in which the Contract (or most of it) is written.1.5 Priority of DocumentsThe documents forming the Contract are to be taken as mutually explanatory of one another. For the purposes of interpretation, the priority of the documents shall be in accordance with the following sequence:(a) the Contract Agreement (if any),(b) the Letter of Acceptance,(c) the Letter of Tender,(d) the Particular Conditions,(e) these General Conditions,(f) the Specification,(g) the Drawings, and(h) the Schedules and any other documents forming part of the Contract.If an ambiguity or discrepancy is found in the documents, the Engineer shall issue any necessary clarification or instruction.1.6 Contract AgreementThe Parties shall enter into a Contract Agreement within 28 days after the Contractor receives the Letter of Acceptance, unless they agree otherwise. The Contract Agreement shall be based upon the form annexed to the Particular Conditions. The costs of stamp duties and similar charges (if any) imposed by law in connection with entry into the Contract Agreement shall be borne by the Employer.1.7 AssignmentNeither Party shall assign the whole or any part of the Contract or any benefit or interest in or under the Contract. However, either Party:(a) may assign the whole or any part with the prior agreement of the other Party, at the sole discretion of such other Party, and(b) may, as security in favour of a bank or financial institution, assign its right to any moneys due, or to become due, under the Contract.1.8Care and Supply of DocumentsThe Specification and Drawings shall be in the custody and care of the Employer. Unless otherwise stated in the Contract, two copies of the Contract and of each subsequent Drawing shall be supplied to the Contractor, who may make or request further copies at the cost of the Contractor.Each of the Contractor's Documents shall be in the custody and care of the Contractor, unless and until taken over by the Employer. Unless otherwise stated in the Contract, the Contractor shall supply to the Engineer six copies of each of the Contractor's Documents.The Contractor shall keep, on the Site, a copy of the Contract, publications named in the Specification, theContractor's Documents (if any), the Drawings and Variations and other communications given under the Contract. The Employer's Personnel shall have the right of access to all these documents at all reasonable times.If a Party becomes aware of an error or defect of a technical nature in a document which was prepared for use in executing the Works, the Party shall promptly give notice to the other Party of such error or defect.1.9 Delayed Drawings or InstructionsThe Contractor shall give notice to the Engineer whenever the Works are likely to be delayed or disrupted if any necessary drawing or instruction is not issued to the Contractor within a particular time, which shall be reasonable. The notice shall include details of the necessary drawing or instruction, details of why and by when it should be issued, and details of the nature and amount of the delay or disruption likely to be suffered if it is late.If the Contractor suffers delay and/or incurs Cost as a result of a failure of the En gineer to issue the notified drawing or instruction within a time which is reasonable and is specified in the notice with supporting details, the Contractor shall give a further notice to the Engineer and shall be entitled subject to Sub-Clause 20.1 [Contractor's Claims] to:(a)an extension of time for any such delay, if completion is or will be delayed, under Sub-Clause 8.4 [Extension of Time for Completion], and(b)payment of any such Cost plus reasonable profit, which shall be included in the Contract Pr ice.After receiving this further notice, the Engineer shall proceed in accordance with Sub Clause 3.5 [Determinations] to agree or determine these matters.However, if and to the extent that the Engineer's failure was caused by any error or delay by the Contractor, including an error in, or delay in the submission of, any of the Contractor's Documents, the Contractor shall not be entitled to such extension of time, Cost or profit.1.10 Employer's Use of Contractor's DocumentsAs between the Parties 'the Contractor shall retain the copyright and other intellectual property rights in the Contractor's Documents and other design documents made by (or on behalf of) the ContractorThe Contractor shall be deemed (by signing the Contract) to give to the Employer a non-terminable transferable non-exclusive royalty-free licence to copy, use and communicate the Contractor's Documents, including making and using modifications of them. This licence shall:(a)apply throughout the actual or intended working life (whichever is longer) of the relevant parts of the Works,(b)entitle any person in proper possession of the relevant part of the Works to copy, use and communicate the Contractor's Documents for the purposes of completing, operating, maintaining, altering, adjusting, repairing and demolishing the Works, and(c)in the case of Contractor's Documents which are in the form of computer programs and other software, permit their use on any computer on the Site and other places as envisaged by the Contract, including replacements of any computers supplied by the Contractor.The Contractor's Documents and other design documents made by (or on behalf of) the Contractor shall not, without the Contractor's consent, be used, copied or communicated to a third party by (or on behal f of) the Employer for purposes other than those permitted under this Sub-Clause.1.11 Contractor's Use of Employer's DocumentsAs between the Parties, the Employer shall retain the copyright and other intellectual property rights in the Specification, the Drawings and other documents made by (or on behalf of) the Employer. The Contractor may, at his cost, copy, use, and obtain communication of these documents for the purposes of the Contract. They shall not, without the Employer's consent, be copied, used or communicated to a third party by the Contractor, except as necessary for the purposes of the Contract.1.12 Confidential DetailsThe Contractor shall disclose all such confidential and other information as the Engineer may reasonably require in order to verify the Contractor's compliance with the Contract.1.13 Compliance with LawsThe Contractor shall, in performing the Contract, comply with applicable Laws. Unless otherwise sated in the Particular conditions:(a)the Employer shall have obtained (or shall obtain) the planning, zoning or similar permission for the Permanent Works, and any other permissions described in the Specification as having been (or being) obtained by the Employer; and the Employer shall indemnify and hold the Contractor harmless against and from the consequences of any failure to do so; and(b)the Contractor shall give all notices, pay all taxes, duties and fees, and obtain all permits, licences and approvals, as required by the Laws in relation to the execution and completion of the Works and the remedying of any defects; and the Contractor shall indemnify and hold the Employer harmless against and from the consequences of any failure to do so.1.14 Joint and Several LiabilityIf the Contractor constitutes (under applicable Laws) a joint venture, consortium or other unincorporated grouping of two or more persons:(a)these persons shall be deemed to be jointly and severally liable to the Employer for the performance of the Contract;(b)these persons shall notify the Employer of their leader who shall have authority to bind the Contractor and each of these persons; and(c)the Contractor shall not alter its composition or legal status without the prior consent of the Employer.。
