Loan Agreement
THIS LOAN AGREEMENT (“Agreement”) is made on [Date] between
[Lender Name and Address], hereinafter referred to as the “Lender”,
and [Borrower Name and Address], hereinafter referred to as the
“Borrower”.

WHEREAS, the Borrower has requested a loan from the Lender, and
the Lender has agreed to provide such loan subject to the terms and
conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and
agreements set forth herein, the parties hereby agree as follows:

1. Loan. The Lender agrees to lend to the Borrower the sum of
[Loan Amount] (“Loan Amount”) pursuant to the terms and conditions
of this Agreement.

2. Interest. The Loan Amount shall bear interest at the rate of
[Interest Rate] per annum from the date of this Agreement until the
Loan Amount is repaid in full. Interest shall be calculated and
payable monthly, in arrears, on the [Payment Due Date] of each month.

3. Payment. The Borrower shall repay the Loan Amount and all
accrued interest thereon in [Number of Payments] installments of
[Payment Amount] each, with the first payment due on [First Payment
Due Date] and subsequent payments due on the [Payment Due Date] of
each month thereafter. The Borrower may prepay the Loan Amount, in
whole or in part, at any time without penalty.

4. Security. The Borrower hereby grants to the Lender a security
interest in the following collateral to secure repayment of the Loan
Amount and all accrued interest: [Description of Collateral]. The
Borrower shall maintain the collateral in good condition and shall
not sell, dispose of, or otherwise encumber the collateral without
the Lender’s prior written consent. The Borrower shall provide the
Lender with all documentation necessary to perfect the security
interest.

5. Default. The occurrence of any of the following events shall
constitute an event of default under this Agreement: (i) non-payment
of any installment of the Loan Amount or interest thereon within
[Number of Days] days of the due date; (ii) breach of any
representation, warranty, or covenant contained in this Agreement;
(iii) the occurrence of any event that would materially impair the
Borrower’s ability to repay the Loan Amount; or (iv) the filing of
any bankruptcy or insolvency proceeding by or against the Borrower.
In the event of default, the Lender may demand immediate repayment of
the Loan Amount and all accrued interest, and may pursue any and all
remedies available under applicable law.

6. Miscellaneous. This Agreement constitutes the entire agreement
between the parties and supersedes all prior agreements and
discussions relating to the subject matter hereof. This Agreement may
not be amended or modified except in writing signed by both parties.
This Agreement shall be binding upon and inure to the benefit of the
parties hereto and their respective successors and assigns. This
Agreement shall be governed by and construed in accordance with the
laws of [Governing Law]. Any dispute arising out of this Agreement
shall be resolved by arbitration in accordance with the rules of the
American Arbitration Association.
