Article 1. Article 2. Sale and Purchase2.1 Party A agrees to sell and Party B agrees to purchase the Goods on the terms and conditions set forth in this Contract.2.2 The quantity, description, and quality of the Goods shall be as set forth in the purchase order issued by Party B and accepted by Party A.2.3 The Price of the Goods shall be as set forth in the purchase order.2.4 Party A shall deliver the Goods to Party B on the Delivery Date.2.5 Party B shall pay the Price of the Goods to Party A within 30 days after the Delivery Date.2.6 Party B shall bear all costs and risks associated with the transportation of the Goods from Party A's place of business to Party B's designated place of delivery.第二条销售和购买2.1 甲方同意按照本合同的条款和条件出售货物，乙方同意购买货物。
2.2 货物的数量、描述和质量应按照乙方发出并被甲方接受的采购订单所载明。
2.3 货物的价格应按照采购订单所载明。
2.4 甲方应在交货日期将货物交付给乙方。
2.5 乙方应在交货日期后30天内向甲方支付货物的价格。
2.6 乙方应承担与从甲方经营场所到乙方指定的交货地点所需的所有运输成本和风险。
Article 3. Quality3.1 The Goods shall be of the quantity, description, and quality specified in the purchase order and shall conform to the standards and specifications agreed upon by the parties.3.2 If the Goods do not conform to the standards and specifications agreed upon by the parties, Party B shall have the right to reject the Goods and request Party A to replace or repair the Goods at Party A's expense.3.3 Party A shall provide Party B with a certificate of quality and conformity before shipment.3.4 Party B shall have the right to inspect the Goods before accepting delivery.第三条质量3.1 货物应符合采购订单所要求的数量、描述和质量，并符合双方商定的标准和规格。
3.2 如果货物不符合双方商定的标准和规格，乙方有权拒收货物，要求甲方承担货物更换或维修的费用。
3.3 甲方应在发货前向乙方提供质量和符合性证书。
3.4 乙方有权在接受交货前对货物进行检验。
Article 4. Warranties4.1 Party A warrants that it has the right to sell the Goods and that the Goods are free from any defects in material and workmanship.4.2 Party B warrants that it has the right to purchase the Goods and that it will use the Goods in accordance with applicable laws and regulations.4.3 Each party warrants that it will perform its obligations under this Contract in accordance with all applicable laws and regulations.第四条保证4.1 甲方保证具有销售货物的权利，并且货物没有任何材料和工艺方面的缺陷。
4.2 乙方保证具有购买货物的权利，并且将按照适用的法律和法规使用货物。
4.3 双方保证将按照所有适用的法律和法规履行本合同项下的义务。
Article 5. Force Majeure5.1 If either party is prevented from performing any of its obligations under this Contract by a Force Majeure Event, such party shall promptly notify the other party and provide evidence of the Force Majeure Event.5.2 The obligations of the party so affected by the Force Majeure Event shall be suspended during the period of the Force Majeure Event.5.3 If the Force Majeure Event continues for a period of more than 30 days, either party may terminate this Contract upon written notice to the other party.第五条不可抗力5.1 如果任何一方因不可抗力事件而无法履行本合同项下的任何义务，该方应立即通知另一方并提供不可抗力事件的证据。
5.2 受不可抗力事件影响的一方的义务应在不可抗力事件期间暂停。
5.3 如果不可抗力事件持续超过30天，任何一方均可书面通知对方终止本合同。
Article 6. Governing Law and Jurisdiction6.1 This Contract shall be governed by and construed in accordance with the laws of the People's Republic of China.6.2 Any dispute arising out of or in connection with this Contract shall be settled through friendly negotiation. If the dispute cannot be resolved through negotiation, either party may submit the dispute to the relevant court in the place where Party A is located for arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).第六条法律适用与管辖6.1 本合同应受中华人民共和国法律管辖并依照其法律解释。
