If there is no such corresponding date, the repayment date shall be the last day of the month.Article 10-The borrower shall irrevocably authorize the lender to transfer from the lender’s deposit account with a sub-branch or office of the Industrial and Commercial Bank of China Shanghai Branch the due principal and interest or the principal and interest due in advance as announced by the lender.Article 11-If the borrower fails the repay the principal and interest of the loan at the agreed time, the lender shall collect a punitive interest of daily 0.021% over the overdue part of the loan according to the regulations of the People’s Bank of China. If the borrower fails to duly pay the interest of the loan, the lender shall collect a compound interest over the unpaid interest. If The People’s Bank of China adjusts the criteria for the punitive interest over the overdue part of the loan, the new criteria shall be adopted.Article 12-If the borrower wants to repay the loan ahead of time, the borrower should make the request at least one year after the normal performance of this contract, the amount of repayment ahead of time must not be less than that of 6 months’repayment amount as specified in thiscontract and the borrower should also notify the lender 10 banking days before the agreed repayment date in written form. Such repayment ahead of time shall be irrevocable upon the lender’s consent.Article 13-If the borrower repays part of the loan ahead of time, the lender shall not charge any interest on that part of the loan repaid ahead of time.Article 14-If the borrower repays all the loan in one time ahead of time, the lender shall determine the last time’s amount of principal and interest repayment according to the level of the contract interest rate.Article 15-The lender shall have the right to announce this contract’s maturity ahead of time in one or several of the following cases and require the borrower to immediately repay part or whole of the principal and interest of the loan (including overdue interest) and be not responsible for any loss caused by proper exercising the said right:1.The borrower has not duly repaid the principal and interest of the loan for continuous threepayment periods or accumulated six payment periods during the term of this contract.2.The borrower has lost his or her ability of civil acts or been announced as lost, dead or theborrower is dead and has no inheritor or no devisee.3.The borrower’s inheritor or devisee or property trustee refuses to perform his or herobligations of repaying the principal and interest of the loan.4.The borrower has any other act that may affect his or her repayment of the principal andinterest to the lender.5.The borrower breaks any other clause of this contract.Article 16-When announcing the loan contract’s maturity ahead of time, the lender shall have the right to request the guarantor to perform the guarantee obligations or dispose the mortgaged object ahead of time.Guarantee for the mortgage loanArticle 17-The range of mortgage guarantee for the house and the relative land use right as said in Article 5 of this contract is principal and interest (including possible punitive interest and compound interest) of the loan, penalty, compensation, expenses (including charge of attorney) for mortgage right and creditor right’s realization and other possible expenses like the lender’s payment of insurance premium on behalf of the borrower.Article 18-The borrower shall bear the expenses for appraisal, insurance, evaluation, registration and care related to the mortgaged object.Article 19-After the signature of this contract, the lender and the borrower shall present this contract and other relative documents to the real estate registration office for mortgage registration and obtain the certificate for other right of the real estate, which shall be put under the lender’s care. The borrower shall submit the photocopy of the real estate ownership certificate to the lender within 10 days after the house is handed over for use and the borrower obtains the real estate ownership certificate.Article 20-During the mortgage term, the borrower must not make any substantial change to the structure of the mortgaged object without the lender’s written consent.Article 21-During the mortgage term, the borrower must not transfer or sell the mortgaged object or repay his or her debt with the mortgaged object or give the mortgaged object to any other person as gift. Otherwise, the borrower shall compensate the lender the loss if any.If the borrower wants to transfer the mortgaged object, the borrower should first notify the lender in written form and tell the transferee of the fact of mortgage. The borrower should also inform the price of the mortgaged object’s transfer and the mode of disposing the transfer amount and discuss such matters with the lender. The borrower may transfer the mortgaged object only after the lender’s written consent.If the borrower needs to lease the mortgaged object, the borrower should inform the lender in written form before signing the lease contract. The income from the lease should be used for repayment of the principal and interest of the loan. The borrower should inform the lessee the fact of mortgage and agree in the lease contract with the lessee that: when the mortgagee (lender) disposes the mortgaged object for the lessor (borrower)’s breach of the contract on guaranteed house loan, the lessee should move out of or duly purchase the mortgaged house within 30 days after the mortgagee sends the notice.Article 22-The borrower must properly take care of the mortgaged object and shall have the responsibility of repairing, maintaining and ensuring the intactness of the mortgaged object and accepting the lender’s supervision and examination anytime.Article 23-When the mortgaged object is damaged or lost, the borrower should timely inform the lender, take immediate actions to prevent the loss’increase and timely present the certificate stating the reason of such damage or loss issued by the relative authority.Article 24-If the borrower’s act is enough to reduce the value of the mortgaged object, the borrower should immediately stop such act. If the borrower causes the reduction of the value of the mortgaged object, the borrower shall be obliged to restore the value of the mortgaged object or provide a guarantee equivalent to the reduced value.If the borrower has made no fault in the reduction of the value of the mortgaged object, the borrower should provide a guarantee to the lender within the range of obtained loss compensation. The unreduced part of the value of the mortgaged object shall still be used as guarantee to the creditor right.Article 25-The co-owner of the mortgaged object agrees to have the real estate said in Article 5 of this contract put under mortgage. When any case as said in the contract occurs and causes the disposal of the mortgaged object, the co-owner shall be willing to unconditionally find another house for his or her residence or accept the resettlement of any other mode.Insurance on the mortgaged objectArticle 26-The borrower should pay for the relative insurance to an insurance company as accepted by the lender. The first beneficiary in the insurance policy must be the lender. Without the lender’s written consent, the insurance policy must not include any limitation harmful to or affecting the lender’s rights and interests or any clause of non-compensation. During the mortgage term, the borrower must not discontinue or cancel the insurance for any reason. The insurance term shall not be shorter than the loan’s term. If the borrower fails to perform the obligation of due repayment, the borrower should continue to buy the insurance till all the principal and interestunder this contract are fully repaid. Otherwise, the borrower must unconditionally compensate the lender for all the loss.Article 27-If the borrower fails to observe Article 26, the lender may purchase the insurance on behalf of the borrower and the borrower shall bear all the expenses.Article 28-The borrower must ensure reasonable use of the mortgaged object and must not use the mortgaged object in any mode or purpose as prohibited or exempted by the insurance clauses.Article 29-During the mortgage term, if there is any damage to the mortgaged object beyond the insurance liabilities, the borrower should timely provide new guarantee to the damaged part and go through relative formalities.Guarantee responsibility of the guarantorArticle 30-The guarantor promises the guarantee of joint liabilities for the loan under this contract. The range of guarantee is principal and interest (including possible punitive interest and compound interest) of the loan, penalty, compensation, all expenses (including charge of attorney) for creditor right’s realization and other possible expenses like the lender’s payment of insurance premium on behalf of the borrower.Article 31-The term for the guarantor’s joint liabilities shall be from the day of the loan’s payment to 67 month(s) after the photocopy of the real estate ownership certificate for the mortgaged object is submitted to the lender.All the parties’ commitmentsArticle 32-The borrower, lender and guarantor jointly agree that:1.The borrower and the guarantor shall timely submit all the documents related to the loan andguarantee and ensure the documents’authenticity, legality and accuracy according to the lender’s requirements.2.The borrower and the guarantor should ensure the authenticity and legality of the submittedownership certificate, insurance policy for the mortgaged object, etc. and the lender should properly keep these documents.3.The borrower and the guarantor should accept and assist the lender in the lender’s supervisionand examination.4.The cases such as alterations of the borrower’s address, correspondence address and contactphone, worsening of finance, involvement in economic dispute or lawsuit, knowledge of the guarantor’s loss or possible loss of guarantee qualification or ability should be notified to the lender within 10 workdays.Article 33-The lender should timely pay the loan as said in Article 6 of this contract.Article 34-The lender shall properly keep the ownership certificate, original insurance policy and other documents related to the mortgaged house. For any loss or damage of them, the lender shall obtain the same from relative agencies or bear relative civil liabilities.Article 35-If the borrower request to the lender for the loan with the public accumulation fund at the same time, the borrower agrees to use the mortgaged object as said in Article 5 of this contract as guarantee to the loan with the public accumulation fund at the same time and the guaranteerange as said in Article 17 of this contract shall also be applicable for the loan with the public accumulation fund. The guarantor agrees to provide guarantee of joint liabilities for the loan with the borrower’s public accumulation fund according to Article 30 and Article 31 of this contract. See the contract on individual house loan with the public accumulation fund No. as signed by the borrower, lender and guarantee for details. The borrower, lender and guarantor shall observe the contract.Article 36-The borrower shall bear all the expenses and actual expenditures related to this contract, including but not limited to lawyer fee, house transfer fee and other relative taxes and fees.Article 37-If the borrower fails to pay all payable amounts and expenses according to this contract and causes the lender to claim the same in any way or mode, the borrower shall bear all caused expenses(including but not limit the charge of attorney and expenses for creditor right’s realization). The lender shall have the right to claim from the lender any expenses paid on behalf of the borrower in order to ensure the lender’s interests and collect the interest for current deposit starting from the date of actual payment.Article 38-If the contract breach or any other event of the borrower causes the guarantor’s joint liabilities, the borrower shall unconditionally agree the lender and guarantor to alter the registration of the mortgage right.Article 39-The borrower ___________ agrees that the lender may timely provide the borrower’s credit information to the individual credit collection agency as authorized by the People’s Bank of China and Shanghai People’s Government.Default liabilitiesArticle 40-If any party breaks this contract and causes any economic loss to the other parties, the party should pay to the other parties a penalty equal to 5% of the loan’s amount. If the penalty is not enough to cover the loss to the other two parties, the party should also compensate the other two parties for the shortage.Solution of a disputeArticle 41-After the loan’s payment, the borrower and the guarantor shall exempt the lender from any dispute about the house’s quality, ownership, timely house handover, etc. and shall normally perform this contract.All parties shall friendly solve any dispute during this contract’s performance through consultation. If such consultation comes to not result, the dispute should be submitted to the people’s court at the lender’s location.Article 42-During the consultation or lawsuit, all parties should further perform the articles not involved in the dispute.The contract’s validity, amendment and terminationArticle 43-This contract shall take effect upon seal or signature by the borrower, lender and guarantor. But the articles related to mortgage shall be effective starting from the date of the registration of the mortgaged object with the relative mortgage registration office to the date of full payment of the loan’s principal, interest, compound interest, punitive interest, penalty, thelender’s expenses for realization of the creditor right and mortgage right and all other possible expenses like the insurance premium possibly paid by the lender on behalf of the borrower.Article 44-During the term of this contract, neither the lender, nor the borrower and nor the guarantor is allowed to amend this contract without the other two parties’ consent. This contract may be amended with the three parties’ consent after consultation. For such amendment, the three parties should reach a written agreement. If the house is insured, Party B shall be first beneficiary, and the insurance policy shall be kept by Party B.Article 8: If any of the following occurs, Party A shall inform Party Bin time1.The mortgaged house is listed in removal range.2.The mortgaged house is damaged or destroyed.3.The ownership of mortgaged house is altered significantly or triggerscontroversy.4.The mortgaged house is sealed up or is frozen.5.Party A’s business mechanism is changed, such as shareholding reform,affiliated operation, merge, etc.6.Other conditions stipulated by both parties Article 9: Disposition of Mortgaged House1.If any of the following occurs, Party B has right to dispose themortgaged house:(1)When loan term expires, Party A does not pay off the debt, and borrowerfails to reach renewal agreement with Party B.(2)Party A is declared to dissolve, bankrupt or die.(3)Party A disposes the house arbitrarily.(4)Other conditions stipulated by both parties. . 2.Disposition manner of the house can be discounted, auctioned, soldthrough mutual negotiation. The profit got from disposition of the house shall be prior repay to Party B. If the profit is insufficient to repay debt, borrower shall repay the rest part; the rest part after repaid to Party B shall be possessed by Party A.3.The capital obtained from disposition of mortgaged house shall bedistributed in following sequence:(1)To pay the fees of disposition of the house;(2)To deduct payable fees and tax of mortgaged house;(3)To repay loan interest, principal and penalty;(4)To compensate Party B for his loss due to borrow er’s breaches of thiscontract.Article 10: Legal Liabilities1.Party A promises that there is no dispute of the house ownership. IfParty A conceals the condition of co-own, ownership disputes, or seal up of the house, Party A shall assume the legal liability. Party B has right to recover the loss from Party A.2.If Party A disposes the house in the manner of rent, sale, exchange,grant or other manners, the action is invalid; if the disposition causes loss of the third party, Party A shall compensate the third party.Article 11: Application of Laws and Resolution of Disputes1.This contract is made in accordance with laws of the People’s Republicof China, and it is applying to laws of the People’s Republic of China.2.If a dispute arises when both parties perform this contract or disposethe mortgaged house, it can be solved through negotiation. If the effort fails, they can bring a suit to court.Article 12: Alteration, Termination and Annulment1.If the mortgaged house is listed in removal range, the real estate asremoval compensation or compensatory payment shall be mortgage property (subject to Article 26 of Administrative Regulations on Urban House Removal).
