3. Delivery of the Property

3.1. The delivery of the Property shall take place on [Date].

3.2. Party A shall deliver the Property to Party B in good condition, free from any defects, and in compliance with all applicable laws and regulations.
甲方应当将财产以良好条件、无缺陷、遵守所有相关法律法规的要求移交给乙方。

4. Warranties and Representations

4.1. Party A represents and warrants that:
甲方保证和承诺：
(a) Party A is the lawful owner of the Property, and has the full right and authority to sell the Property;
甲方是该财产的合法所有人，并且具有出售该财产的全部权利和权限；
(b) There are no mortgages, liens, or other encumbrances on the Property, except as disclosed in writing to Party B before the signing of this Contract;
该财产没有抵押、留置或其他限制性负担，但在本合同签署之前向乙方书面披露的除外；
(c) The Property has not been used for any illegal purposes, and there is no dispute over the Property.
该财产未被用于任何非法目的，且没有财产纠纷。

4.2. Party B acknowledges and agrees that Party A makes no other warranties or representations, express or implied, regarding the Property, except those expressly set forth in this Contract.
乙方确认并同意，甲方没有就财产作出除本合同明确规定以外的任何明示或暗示的保证或陈述。

5. Term and Termination
5. 期限和终止
5.1. This Contract shall become effective on the date of its signing by Party A and Party B, and shall continue in force until the transaction is completed.
本合同自甲乙双方签署的日期起生效，直至交易完成为止。

5.2. If either party breaches any of its obligations under this Contract, the non-breaching party shall have the right to
terminate this Contract upon written notice to the breaching party.
如果任何一方违反本合同的任何义务，非违约方应当在书面通知违约方后有权终止本合同。

6. Governing Law and Jurisdiction
6. 法律适用和管辖
6.1. This Contract shall be governed by and construed in accordance with the laws of the People's Republic of China.
本合同适用中华人民共和国法律。

6.2. Any dispute arising out of or in connection with this Contract shall be settled through consultation between Party A and Party B. If the dispute cannot be resolved through consultation, either party may submit the dispute to the relevant court for arbitration.
任何因本合同引起的或相关的争议，应当通过甲乙双方协商解决。

如果争议无法通过协商解决，则任何一方可以将争议提交有关的仲裁机构处理。

7. Miscellaneous
7. 其他条款
7.1. This Contract constitutes the entire agreement between Party A and Party B and supersedes all prior negotiations, understandings, and agreements between them.
本合同构成甲乙双方之间的完整协议，取代其之前的任何谈判、理解和协议。

7.2. This Contract may be executed in counterparts, each of which shall be an original and all of which shall together constitute one agreement.
本合同可以分别签署，每份合同都是原件，所有合同一起构成一份协议。
