论公司法的基本原则

摘要

公司法的基本原则是社会主义市场经济体制下公司运行规律的反映，其效力贯穿于公司法的始终，是贯彻公司运行始终、调整公司内外部关系的根本准则。我国公司法基本原则应该是反映我国公司法立法、司法和规范公司运行的基本准则，它同时也是克服成文公司法局限性之工具。各部门法都有其自身的基本原则，公司法也不例外。世界各国的成文法都明示或包含了一些基本原则，借以体现其基本价值观念，对于我国的公司法基本原则在社会主义市场经济体制不断的完善的今天，公司法的基本原则在法律条文中有了比较充分的体现。我国从计划经济向市场经济的成功转变并没有对社会主义体制产生转变，从中国改革开放近三十年的发展成果来看，中国逐步将社会主义市场经济演变的完善，逐步得到世界的认可。国有企业具有中国特色的市场细胞，中国的民营和集体企业在近年来得到大规模的发展，中小型企业中他们已占到主体的地位，为中国的经济发展作出了很大的贡献。
