持有人可以按一个预先确定的价格将这种债券转换为固定股数的公司股票。
由于债券中嵌入了一个公司股票的认购权,可转换债券的利率远远低于传统债券,因此是公司筹集债资的一个廉价方法。
这种债券对现有股东造成的问题是转换稀释了公司发行在外的股权。
