本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。

This agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

说明：

鉴于甲方负责在中国设计，生产和销售LED灯具；

甲乙双方本着互惠互利的原则，对协议中的产品进行生产开发和销售的合作。

在此前提条件下，甲乙双方的协议如下：

WITNESSES:

Whereas Party A is engaged in designing, manufacturing and selling LED Light in China,

Whereas the Parties consider it mutually advantageous to co-operate engaging in manufacture, sale and development of Licensed Product in LED Light.

Now therefore, in consideration of the premises and practice described hereinafter Party A and Party B agree as follows:

甲方委托乙方为销售代理人，销售下列商品。

Party A hereby appoints party B to act as his selling agent to sell the commodity mentioned below：LED strip/LED tape light/LED rope light

2 商品及数量或金额

双方约定，乙方在协议有效期内，承销不少于_____的上述商品。

Commodity and Quantity or amount

It is mutually agreed that Party B shall undertake to sell not less than _____ of the aforesaid commodity in the duration of this Agreement.

3 经销地区：只限在甲方授权的_____ 区域销售,具体以授权书为准。

Territory In _____ only，and details refer to signed Authorization certificate.

4 定单的确认

关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等须经甲方确认，并签定销售确认书，对交易做具体规定。

Confirmation of orders

The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.

5．付款

订单确认后，乙方须通过T/T先付30%定金，在出货前须将余款通过T/T的方式付清，乙方付款之后，应立即通知甲方，以便甲方准备交货。

Payment Terms

After confirmation of the order, Party B should pay 30% for deposit by T/T, the balance should be paid before shipping by T/T Party B shall also notify Party A immediately after payment is done, so that Party A can get prepared for delivery.

Remark:

For samples or small orders (<1000USD light), 100% T/T before shipment. 若样品或<1000美金的小订单，则为发货前100%付清款

6. 价格条款

1．甲方每月提供统一的价格表给乙方，乙方不得擅自将价格表内容透漏给竞争对手。

2．乙方必须严格执行和遵守甲方的价格体系

Price Terms

1. The Party A offer the uniform, official quotation to the Party B, the Party B should not leak the content to the other competitor or any other third party;

2. The Party B should observe and implement the Price System of Party

A.

7. 优惠政策甲方有两种方式供乙方选择：

1）佣金

在本协议期满时，乙方完成了规定的数额_ ，甲方当按装运货物所受到的全部发票金额付给乙方_____%的佣金。

或2）返利政策

甲方将根据乙方的周期销售额推行返利政策，具体数据如下：

说明：乙方可选择同等价值的商品，三个月为一个销售周期。

Preferential Policy ，There are two ways for Party B selection:

1）Commission

Upon the expiration of the Agreement and Party B's fulfillment of the total turnover mentioned in the agreement , Party A shall pay to Party B_____% commission on the basis of the aggregate amount of the invoice value already paid by Party B of the shipments effected.

Or 2) Payback Policy

The Party A will pay back based on the Season turnover of Party B, the detailed payback percentage as follow:

Remark: The Party B can choose the same value products，and three months as a checking point, starting from the first shipment date.

8. 市场情况报告

乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料。Reports on Market Conditions

Party B shall forward once every three months to Party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall, from time to time, send to Party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.

9. 宣传广告费用

在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。

Advertising & Publicity Expenses

Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and / or drawing and description for prior approval.

10.技术支持

甲方会提供完整的产品信息资料给乙方，必要的技术培训（免费）。

Technical support

The Party A will offer the fully-formed products data to the Party B, as well as the free technical training.

11. 协议有效期

本协议由双方签字后生效，有效期_____年，自_____至_____。若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定。

若协议一方未履行协议条款，另一方有权终止协议。

Validity of Agreement

This agreement, after its being signed by the parties concerned shall remain of in force for_____，as from _____ to _____. If either party wish to extend this Agreement, he shall notice in writing to the other party one month prior to its expiration, the matter shall be decided by consent of the parties hereto.

Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate the Agreement.

12 仲裁

在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。

Arbitration

All disputes arising from the execution of this agreement shall be settled

through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

13 其它条款

（1）甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_____%的佣金。

（2）若乙方在_____月内未能向甲方提供至少_____的订货，甲方不承担本协议的义务。（3）对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。

（4）本协议受签约双方所签定的销售确认条款的制约。

Other Terms & Conditions

(1) Party A shall not supply the contracted commodity to any other buyers in the above mentioned territory. Direct inquiries, if any , will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so, But Party A shall send to Party B a copy of sales confirmation and give party B_____% commission(s) concluded.

(2) Should Party B fail to pass on his orders to Party A in a period of _____ months for a minimum of _____, Party A shall not bind himself to this Agreement.

(3) For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A's government without binding himself to this Agreement. Party B shall not interfere in such direct dealings, nor shall Party B bring forward any demand for compensation therefrom.

(4) This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by both parties hereto.

Agreement for After-Sales Service,

Returned and Exchanged Goods

Terms on after-sales service, returned and exchanged goods policy within the agent region, the two parties have agreed as follows:

1.甲方所有产品质保期限：两年。

Products of Party A, warranty time: two years.

2.质保期计算方法：所有计算期限自产品订单下单日期开始计算，同时考虑到

产品下单到客户销售出产品之间的时间因素，此期限不得超过六个月，即总质保时间不超过30个月。

Ways calculating warranty time; about the products Party B purchased, its warranty time will eventually start from the date when they are sold. However, about this calculation, the maximum period between the date when products were purchased and the date when they are sold shall not exceed six months, or rather the warranty time of Party A shall not exceed maximum time, 30 months.

3.在乙方销售区域内，甲方只对乙方承担售后责任，乙方负责其区域内的终端

消费者以及其他分销商、零售商的售后处理。

In Party B agent region, about after-sales service, party A is only responsible for party B while party B is responsible for end users and lower level distributors.

4.乙方承诺定期提交市场报告，甲乙双方指定专人对接沟通乙方区域市场内的

市场变化、项目进度、库存情况以及售后服务处理状况。

Party B commit that: party B will establish the ‘ market report’ mechanism with party A together. Both parties will specially assign the persons responsible for the mechanism, communicating timely and monthly with each other about market situation, projects progress, stock situation, after-sales service, and so on within party B agent region.

5.在质保期内，如有产品出现非人为的质量问题，由乙方每月提交质量问题报

告给到甲方，由甲方负责更换。In the sales process and warranty time, if there are cases that the lamp can not light up or the lamp appearance is broken when it is sold, causing by non-human factors, party B could monthly apply in writing for the exchange good to party A, and party A should exchange the good after verifying the case.

6.如在质保期内批量产品出现相同或者类似质量问题，乙方有权要求甲方立刻

更换相同价值产品。如替换产品再次出现质量问题，乙方有权退货。In the course of after-sales and within the warranty time, if there are cases that batches of products have same problems, party B have the right to demand party A to replace the same models immediately or replace the same valued other products of party

A. If there are still the same problems after replacement, party B have the right to

return the goods to party A.

7.因处理售后所产生的运费，甲乙双方各承担50%。其他成本由分属各方自行

承担，如乙方下属的分销商或者终端消费者的投诉成本由乙方自行承担。

About the freight cost during the after-sales course, both parties should bear 50%.

About other costs, as a rule, party B is responsible for end users and lower level distributors, and both parties should bear their own costs.

8.在合同期内，乙方有权针对销售呆滞品做换货，每三个月可做一次换货，总

金额不得超过该期间总订单金额的25%。因此产生的所有相关费用由乙方承担。In the contract period of the agent agreement, party B have the right to one replacement each quarter, but the replacement amount should not exceed 25% of the quarter. Costs caused by the replacement will be borne by Party B.

9.质保期外产生的质量问题，乙方可以向甲方咨询处理方案，避免给乙方带来

不必要的损失。

Outside the warranty time, the paid or unpaid service depends on the products specific conditions, and party B and the users should actively cooperate with party

A to avoid the loss, or party

B is responsible for the loss.
