Exclusive Agent Agreement
本独家代理协议（以下简称“协议”）由以下双方签订：
甲方：[公司名称]，注册地为[注册地]，地址为[地址]，法定代表人为[法定代表人]，以下简称“甲方”。
乙方：[代理商名称]，注册地为[注册地]，地址为[地址]，法定代表人为[法定代表人]，以下简称“乙方”。
鉴于甲方拥有[产品/服务]的独家代理权，乙方希望成为甲方的独家代理商，双方据此达成以下协议：
第一条：代理权限
1.1甲方授予乙方[产品/服务]的独家代理权，乙方有权以自己的名义在指定地区销售和推广甲方的产品/服务。
1.2乙方有权使用甲方的商标、标识、名称和宣传资料来推广和销售甲方的产品/服务。
乙方不得将甲方的商标、标识、名称和宣传资料用于与本协议无关的其他目的。
1.3乙方有义务保持对甲方产品/服务的充分了解，并及时向甲方提供关于市场需求、竞争情况和产品/服务改进方面的信息。
第二条：区域限制
2.1乙方被授权在指定的地区独家代理甲方的产品/服务。
甲方保留自行在该地区销售产品/服务的权利。
2.2如果乙方希望扩大销售和推广范围，需提前向甲方提出申请并获
得甲方的书面同意。
2.3甲方有权根据市场情况调整乙方的独家代理区域，并在合理通知
期内进行协商。
第三条：销售义务
3.1乙方应尽最大努力推广和销售甲方的产品/服务，并达到商定的
销售目标。
乙方应维护甲方产品/服务的声誉和形象。
3.2乙方应按照甲方规定的价格和销售政策销售产品/服务，并及时
向甲方汇报销售情况及收益。
3.3乙方不得代理、销售与甲方产品/服务相竞争的其他品牌或产品，否则甲方有权终止本协议并追究乙方的违约责任。
第四条：价格与支付方式
4.1甲方将向乙方提供产品/服务的价格表，并保留单方面调整价格
的权利。
4.2乙方应按照甲方规定的支付方式及时支付产品/服务的货款。
4.3甲方有权根据市场情况要求乙方降低价格或提供折扣，并在合理
通知期内进行协商。
第五条：合作期限
5.1本协议的有效期为___________（起始日期）至___________（终
止日期）。
协议终止后，除非另有书面协议，乙方将不再享有独家代理权。
5.2协议到期前，请双方提前______天书面告知对方双方对续约或解除协议的意愿。
第六条：违约责任
6.1如果一方违反本协议的任何条款，守约方有权解除本协议并追究违约方的违约责任。
6.2违约方应承担因违约而给对方造成的损失，包括但不限于合同毁约赔偿、诉讼费用和律师费等。
第七条：协议解除
7.1如有下列情形之一，本协议即行解除：
（1）协议期限届满且未续约；
（2）双方书面一致同意解除协议；
（3）一方严重违反本协议，经守约方书面通知后，仍未在______天内改正。
7.2协议解除后，双方应立即停止使用对方商标、标识、名称和宣传资料，并归还对方提供的商业机密和机密信息。
第八条：其他事项
8.1本协议对双方具有约束力，未经双方书面同意，任何一方不得将本协议的权利和义务全部或部分转让给第三方。
8.2本协议的修改或补充应以书面形式进行，并经双方签字确认后生效。
本协议一式两份，甲方和乙方各持一份，自签署之日起生效。
