四、违约责任如果一方违反本协议中的保密义务,应承担以下责任:1. 违约方应赔偿因此给另一方造成的全部损失,包括但不限于直接损失、间接损失和因此产生的合理费用;2. 违约方应承担因此产生的全部法律责任和后果;3. 在某些情况下,违约方可能面临刑事指控和民事赔偿责任。

保密协议Confidentiality Agreement1. (a) 协议双方:Parties to the Agreement:(b) 鉴于双方有意从事_ _的探讨和谈判,包括_ 等(以下简称“本项目”),披露方可能以口头、书面或者物质的形式基于保密为条件并披露方拥有并视为专有或披露方对第三方拥有保持专有信息的法律义务并以秘密或保密处置的向接收方透漏某些保密信息,包括但不限于商业、财务、技术和运营方面的信息(以下称保密信息)。

只有在如下情况下,披露方披露的信息才被接收方认为是保密信息:如果通过书面传递,则必须明显地标明“保密”字样;或如果通过口头传递,则应当在披露当时指出为“保密”。

如果披露方未能标注或指出披露的保密信息为“保密”,则接收方应当在收到披露方指定“保密”并要求将该披露的信息作为本协议项下的保密信息处理的书面通知之日起,依据本协议负责保护该披露的信息。

Whereas the parties are interested to undertake discussions and negotiations on _ ,including _ (hereinafter referred to as the“Project”).It will be necessary for the “DISCLOSING PARTY”to disclose to the “RECIPIENT” certain confidential information in oral, written or physical form including without limitation business, financial, technical and operational information on a confidential basis and which such information the Disclosing Party owns and considers to be proprietary or which Disclosing Party is under an obligation to a third party to maintain proprietary and treats as secret or confidential (hereinafter referred to as "Confidential Information") . The information disclosed by the Disclosing Party will be considered Confidential Information by the RECIPIENT only if such information is conspicuously marked as “Confidential” if communicated in writing, or if communicated orally, identified as “Confidential” at time of disclosure. If the Disclosing Party fails to mark or identify disclosed Confidential Information as “Confidential”, the RECIPIENT shall be responsible for protecting such disclosures in accordance with this Agreement from the date of receipt of written notice by the Disclosing Party identifying the disclosure as “Confidential” and requesting that such disclosure be t reated as Confidential Information under this Agreement.接收方使用这些保密信息必须遵守下面的条款。

When using the Confidential Information, the RECIPIENT shall comply with the provisions in the Agreement.2.披露方向接收方披露这些保密信息唯一目的是就本项目进行讨论和合作(目的)。

Disclosing Party discloses such Confidential Information to RECIPIENT solely for the pur pose of discussing and cooperating on the Project (the “Purpose”).3. 接收方应该对信息保密做保密处理。

作为最低标准,接收方同意在本协议期限内:接收方指定专人负责在接收方内部对保密信息的披露进行控制。

RECIPIENT shall maintain all such Confidential Information so imparted, secret and confidential. As a minimum standard of care, RECIPIENT agrees to the following requirements during the term of this Agreement:•接收方仅对根据第二条需要知情的雇员披露保密信息。

本协议所称的雇员是指相关的人员,包括但不限于管理人员、工作人员、顾问及其他直接或间接参与本项目或其他披露方相应项目的接收方的雇员。

如果向上述人员外的其他人员或法律实体披露保密信息,必须事先取得披露方的书面同意。

RECIPIENT shall disclose the Confidential Information only to its employeeswho have a need to know solely for the purpose stated in Section 2. The employee here refers to the personnel relevant to the Project including without limitation management personnel, staff, consultants and other employee of the RECIPIENT directly or indirectly participating in the Project of the Disclosing Party. If Confidential Information is disclosed to other individuals or legal entities except the above personnel, prior written consent must be obtained from the Disclosing Party.•当保密信息不处于使用状态时,或者每个工作日结束时,接收方应该将保密信息保存在可以锁定的装置中。

RECIPIENT shall secure the Confidential Information in a lockable device when the Confidential Information is not in use and at the end of each business day.•接收方应该将保密信息从其他第三方获得的保密信息按照不同的分类隔离出来。

RECIPIENT shall segregate the Confidential Information from the confidential information of others.•当保密信息存在泄漏或者无力保密时,接收方应该迅速电话通知披露方,然后紧接着书面通知。

RECIPIENT shall promptly report any loss or inability to account for the Confidential Information to the Disclosing Party by telephone to be followed up immediately in writing.•接收方应该要求其参与第二条所述工作的雇员执行合适的协议,以便使得双方能够遵守本协议的所有规定。

附件1是为该合适的协议提供了一个例子。

RECIPIENT shall cause its employees involved in performing the work described in Section 2 herein to execute an appropriate agreement sufficient to enable the parties to comply with all the provisions of this Agreement.Attachment 1 is an example of an appropriate agreement.4. 接收方不应该将保密信息用于除第二条之外的其他目的。

RECIPIENT shall not use such Confidential Information for any purpose except the purpose in Section 2 above.5. 接收方不得向本协议第1条(a)款规定的各方之外的任何第三方转移或进一步披露保密信息。

如果披露方同意上述披露或转移,则该第三方应当与接收方签订经披露方书面形式同意的保密协议。

RECIPIENT shall not transmit or further disclose such Confidential Information to any third party other than the Parities defined in Article 1 (a). In the event the Disclosing Party approves in written form of such disclosure or transmittal, such third party shall execute an appropriate non-disclosure agreement with the RECIPIENT as agreed in written form by the Disclosing Party.6. 除了第二条所述目的之外,接收方不应该复制或者摘录保密信息,除非事先得到披露方授权。
