The Agent shall comply with all applicable laws, regulations, and ethical obligations in providing the services.2. The Agent shall promptly inform the Principal of any material developments in the matter(s) for which it has been retained and shall keep the Principal informed of the progress of the matter(s) and of any significant communications with third parties.3. The Agent shall maintain the confidentiality of all information related to the Principal and its affairs, and shall not disclose such information to any third party without the express written consent of the Principal, except as required by law.4. The Agent shall not undertake any other obligations that would be in conflict with the performance of its duties to the Principal under this Agreement.III. Obligations of the Principal1. The Principal shall provide the Agent with all documents, information, and instructions necessary or useful to enable the Agent to perform the services within the scope of representation.2. The Principal shall pay the Agent the fees and expenses for services as set forth in Exhibit A attached to this Agreement and shall reimburse the Agent for all reasonable expenses incurred in connection with the performance of the services.3. The Principal shall cooperate with the Agent in all aspects related to the Agent's performance of services and shall promptly respond to the Agent's requests for information or instruction.IV. Term and Termination1. This Agreement shall commence on the date first set forth above and shall continue until the services have been completed or until terminated by either party upon written notice to the other party.2. In the event of termination, the Agent shall cease providing services to the Principal and shall provide the Principal with a final invoice for all fees and expenses incurred up to the date of termination.V. Governing Law and Dispute Resolution1. This Agreement shall be governed by and construed in accordance with the laws of [Country], without giving effect to any choice of law provisions.2.
