3. 甲方责任和义务

In consideration of the exclusive rights granted herein, Party A

shall not, directly or indirectly, sell or export the commodity or service stipulated in Article 1 to customers in territory through channels other than Party B.

在本协议有效期内，甲方应将其收到的来自代理区域其他商家

的有关代理产品或服务的询价或订单转交给乙方。

Party A shall refer to Party B any enquiries of orders for the commodity or service in question received by Party A from other firms in territory during the validity of this agreement.

Party A shall provide the necessary training to Party B, in order to ensure that the work of Party B reach the requirements of Party A.

4. 乙方责任和义务

Party B responsibilities and obligations

乙方可以用“甲方产品唯一授权经销商”的名义进行一切合法

的商业活动。

Party B can undertake all the legitimate business activities in the name of Part A product’s only authorized dealers.

乙方不得招揽或接受以到代理区域以外的地区销售为目的的订

单。对于跨地区销售，一经发现，将给予警告;对于连续两次违

反者，甲方有权取消其代理资格和本协议给予的一切权益。

Party B shall not solicit or accept orders for the purpose of

selling them outside territory. Once cross-area-sales be founding, Party A will give Party B a warning. For two successive violators, Party A shall have the right to cancel Party B’s agent qualification and all the rights to this agreement.

5. 退货

Return

如产品存在质量问题，乙方须在收到货物后60日内向甲方提交

退货申请，甲方应同意退货;

乙方退回的产品及其包装必须达到不影响再次销售的要求，否

则，甲方不予退款; 甲方在收到退货并确认符合上述要求后退款。

For the product quality reason, Party B shall submit a return application to Party A, and Party A shall agree.

The products by Party B returned, and its packaging must meet the requirements of the sales again, otherwise, Party A will not be refund.

Party A refunds after receiving the return products and confirming they meet the requirements.

6. 运保费

Transportation & Insurance Fee

发货时，运保费由甲方承担;

若乙方对运输工具有特殊要求，超出的运费由乙方自行承担;

退货时，运保费由乙方承担。

When deliver the transportation and insurance fee should be borne by Party A. If Party B has special requirements, the beyond fee shall be borne by party B. When Return the transportation and insurance fee

should be borne by Party B.

7. 不可抗力

Force Majeure

因水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、

避免和克服的其他事件导致不能或暂时不能全部或部分履行本协

议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将

发生的事件通知另一方，并在不可抗力事件发生15天内将有关机

构出具的不可抗力事件证明寄交对方。

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the

party affected by the event of Force Majeure shall inform the other

party of its occurrence in writing as soon as possible and thereafter

8. 仲裁

Arbitration

一切因履行本协议发生的争端应通过友好协商解决。如协商不

成，均应提交至乙方所在地的人民法院，按照申请仲裁时该会实

施的仲裁规则进行仲裁。仲裁裁决终局的，对双方均有约束力。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through

negotiation, the case shall be submitted to court where is Party B

is located, which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

本协议以中英文书就，如中英文内容存在不一致，以中文为准。

This agreement is made in both Chinese and English. In the event of any discrepancy between the two versions, the Chinese version shall prevail.

9. 本协议正本一式两份，双方各执一份，具有相同的法律效力。

This agreement is in two originals, each party holds one, the two have the same legal effect.

本协议未尽事宜，经甲乙双方协商另行签订补充协议规定，补

充协议与本协议具有同等的法律效力。

This agreement is not completely matters concerned, both parties shall sign

supplementary agreement through negotiations, and the supplementary agreement is the same legal effect.

3. 预约

Appointment

做的程度，(i)不得任命任何第三方在乙方代理地区销售甲公司

产品，(ii)不得在乙方代理的地区设任何个人或者公司形式的第

防止任何其它地区的经销商在乙方所代理的地区出售产品。如果

甲方或任何加盟，直接销售任何产品到乙方所代理的地区，或最

终转售到乙方所代理的地区(除向乙方或乙方指定的一方出售)，

要在出销售行为发生之前告知乙方，并须向乙方支付该交易交总

额的10,。此费用作为补偿乙方所支出的广告和其它的相关资本

支出。

Party A hereby appoints Party B as its Authorized Dealer Agent to solicit orders for the Products stipulated in Article 6 from customers in the territory stipulated in Article 6. Party B accepts and assumes such appointment. Part A, to the extent that it is legally Permitted to do so, (i) shall not appoint any Party B or agent in the Territory for the Products other than Party B, (ii) shall not, and shall cause any

Affiliate not to, knowingly sell Products to any person other than Part

B or a party designated by Party B for use or resale within the

Territory, and (iii) shall use its best efforts to prevent any party other than Party B from seeking customers for the Products in the Territory, from establishing any branch related to the distribution of Products in the Territory, or from maintaining any distribution depot with respect to the Products in the Territory. If Party A, or any Affiliate, sells any Product which is eventually resold in the Territory (other than a sale to Party B or a party designated by Party B) and

Party A, or that Affiliate, had reason to know at the time of its sale

of that Product that such resale was likely to occur, Party

A shall, immediately after the trigger sale (which shall be the

resale of the Product in the territory or the sale immediately preceding the use of the Product in the Territory) is contracted, pay to the Party B 10 % of the price of that Product under this Agreement at the time

that the trigger sale was contracted, which payment shall represent a recapture of certain advertising and capital expenditures made by Party B. Nothing contained in this Section shall affect any other right or remedy which Party B may have pursuant to this Agreement.

If Party A or any Affiliate is contacted by any party inquiring

about the purchase of Products in the Territory (other than Party B or a

party designated by Party B), Party A shall, or shall cause that Affiliate to, refer such party to Party B for handling.

Party B declares that it shall not sell Party A products outside territory outlined in Article 6 without a permission of Party A.

4. 产品

Products

LED照明产品:发光管灯，LED灯泡灯，LED筒灯，LED灯条灯，

等由甲方的产品。产品名称已例于表A。甲方可以更改产品的设

计和规格。任何改动需以书面形式告知乙方。甲方发出通知15天

后方可生效。

LED LIGHTING PRODUCTS: LED tube light, LED bulb light, LED down light, LED Strip Light, etc produced by Party A. The exact list of products is attached to this Agreement as Exhibit A. Goods may be deleted from or added to Exhibit A and their specifications and design may be changed by Party A at its sole discretion at any time by mailing written notice of such changes to Party B. Each change shall become effective 15 days following the date notice thereof is sent.

5. 新产品

New Products

如果本公司或任何加盟现在还是以后的生产和销售，或建议制

造或

分发，任何产品比其他的产品，公司应立即通知，或造成这种

加盟通知，分销商这一事实，所有有关该产品的细节。公司

应给予，或须安排的条款和条件不低于原来在这方面的协议所提

供的产品有利于这一问题给予加盟，这些分销商的分销权。

If Company or any Affiliate now or hereafter manufactures or distributes, or proposes to manufacture or

distribute, any product other than the Products, Company shall immediately notify, or cause such Affiliate to notify, Distributor of that fact and of all details concerning that product.

ARTICLE I. DEFINITIONS

第一条定义

When used in this Agreement, the following terms shall have the meanings indicated. The meanings shall be applied whether the singular or the plural form of the term is used.

本协议中的下列术语应有如下描述的意思。该术语无论是单独

使用还是联合使用时，该意思都应适用。

Affiliate means any company controlled by, controlling, or under common control with supplier.

Agreement means this agreement, and the Exhibits, together with all amendments thereto. Attachment means any form or exhibit attached to

this agreement.

Customer means any person who purchases Products from Distributor.

Goods means those items described in Attachment A. Goods

may be deleted from or added to Attachment A and their

specifications and design may be changed by Supplier at its sole discretion at any time by mailing written notice of such changes to Distributor. Each change shall become effective within 15 days following the date notice thereof is mailed to Distributor.

Products means Goods.

Specifications means those specifications set forth in Attachment D.

Territory means the following geographic area or areas:

Trademark means any trademark, logo, or service mark, whether or not registered, used to represent or describe the Products of Supplier, as set forth in Attachment E.

ARTICLE II. APPOINTMENT OF DISTRIBUTOR

Appointment:Supplier hereby appoints Distributor as

Supplier's nonexclusive distributor of Products in the Territory, and Distributor accepts that position. It is understood that Supplier cannot lawfully prevent its distributors located elsewhere from

supplying Products for sale or use within the Territory and that it has no obligation to do so.

指定:供应商在此指定经销商为在定义区域内非独占经销商，

经销商接受指定。双方理解供应商没权阻止位于其它区域的经销

商在定义区域内销售和使用供应商提供的产品。

Referrals:If Supplier or any Affiliate is contacted by any party inquiring about the purchase of Products in the Territory, Supplier

shall, or shall cause that Affiliate to, refer such party to Distributor.

提示:如在本区域内有任何一方向供应商或其下属单位咨询有

关购买产品事宜，供应商有权或要求下属单位将询价转交给经销

商。

Relationship of Parties: Distributor is an independent

contractor and is not the legal representative or agent of Supplier

for any purpose and shall have no right or authority (except as

expressly provided in this Agreement) to incur, assume or create in

writing or otherwise, any warranty on the part of Supplier. Supplier

shall not exercise any control over any of Distributor's employees,

all of who are entirely under the control of Distributor.

Distributor shall be responsible for the acts and omissions of Distributor's employees. Distributor shall, at its own expense,

during the term of this Agreement and any extension thereof, maintain

full insurance under any Workmen's Compensation Laws effective in

the state or other applicable jurisdiction covering all persons employed by and working for it in connection with the performance of this Agreement. Distributor accepts exclusive liability for all contributions and payroll taxes required under Federal Income Tax Law, Federal Social Security Laws and State Unemployment Compensation Laws or other payments under any laws of similar character in any applicable jurisdiction as to all persons employed by and working for it. Nothing contained in this

Agreement shall be deemed to create any partnership or joint venture relationship between the parties.

双方关系:经销商是独立的合同签约人，不是供应商法律上的

代表人或代理人，没有权力以书面或其它形式代

表供应商招致、承担任何保证(除非有明确的约定)。经销商的

员工应由经销商控制，供应商无权使用、控制。经销商应对其员

工的行为或疏忽负责。在本协议生效或续展期间，经销商应根据

本州和其它管辖地区的劳动者赔偿法为从事本协议项下工作或与

本协议有关的员工购买充分的保险。经销商应根据管辖区域的联

邦税收法、联邦社会保障法、失业人员补偿法全权负责为其工作

员工及相关人员的收入、薪金和税收。本协议的任何内容都不得

视为双方建立了合伙关系或联营关系。

Sale of Products by Distributor: Distributor shall use its best efforts to distribute the Products and to fully develop the market for the Products within the Territory. The parties have consulted together and now agree that if Distributor's best efforts are used as provided in this Section, a minimum of _______ Products (Annual Market Potential) will be purchased and distributed in the Territory during the first year of this Agreement. At the beginning of each subsequent year the parties will consult together in good faith and agree on the Annual Market Potential applicable to that year; provided, however, that if they cannot agree, the Annual Market Potential for the immediately Preceding year will apply to the current year.

Competing Products: Distributor agrees that it will not

distribute or represent any Products in the Territory that compete with the Products during the term of this Agreement or any extensions thereof.

竞争产品:经销商同意在本协议有效期或续展期内将不在本区

域销售或代表其它有竞争产品。

Advertising: Distributor shall be entitled, during the term of the distributorship created by this Agreement and any extension thereof, to advertise and hold itself out as an authorized Distributor of the Products. At all times during the term of the distributorship created by this Agreement and any extension thereof, Distributor shall use the Trademarks in all advertisements and other activities conducted by Distributor to promote the sale of the Products. Distributor shall

submit samples of all proposed advertisements and other promotional materials for the Products to Supplier for approval and Distributor

shall not use any such advertisements or promotional materials without having received the prior written consent of Supplier to do so. Distributor shall not, pursuant to this Agreement or otherwise, have or acquire any right, title or interest in or to Supplier's Trademarks.

广告:经销商有权在本协议有效期或续展期内做广告宣传或表

明自己授权经销商的身份，有权在广告或推广活动中使用供应商

的商标。经销商应事先将广告或宣传资料的样稿提交供应商批准，

经销商不得未经供应商书面同意进行广告宣传。经销商不得拥有

供应商商标的任何权利和利益，除非本协议另有约定。

New Products: If Supplier or any Affiliate now or hereafter

manufactures or distributes, or proposes to manufacture or

distribute, any new product other than the Products, Supplier shall immediately notify, or cause such Affiliate to notify, Distributor of

that fact and of all details concerning that new product. Distributor may request from Supplier distribution rights for that new product in

the Territory, or any portion thereof, and if so requested, Supplier

shall grant, or shall cause the subject Affiliate to grant, such distribution rights to Distributor on terms and conditions no less favorable than those provided in this Agreement with respect to Products. If Distributor does not obtain those distribution rights or obtains them only for a portion of the Territory, and Supplier or an Affiliate later desires to offer those distribution rights for the Territory or any portion thereof to another party, Supplier shall first, or shall cause such Affiliate to first, make that offer in writing to Distributor on terms and conditions which shall be specified fully in that offer. That offer shall contain

a full description of the subject new product and its operation. Distributor may request, and Supplier shall promptly provide, or shall cause such Affiliate promptly to provide, further information concerning
