第一条定义

1. Definition

1.经销商,在甲方授权范围内进行市场拓展,品牌推广,客户服务等相关业务的合法的机构和组织;

a.Distributor, refers to legal institutions and organizations which is authorized

by Party A to represent Party A for Business development, Brand promotion, Customer service and other related activities.

2.产品:是指由甲方生产或提供给乙方的指定产品;

3.协议:指本经销合作协议及其所有附件;

c.Agreement: refers to this distributor cooperation agreement and all its

attachments;

d.Notice: refers to Email or paper letter.

5.合法授权经销商:必须持有甲方颁发的,在有效期内的经销商授权证书。

e.Legally authorized distributor: must hold the distributor authorization

certificate issued by Party A within the validity period.

第二条经销权

2. Distributorship

1.根据本协议,乙方只能以签订本协议所使用的公司名称在甲方授权经销的区域内销售甲方产品

a.According to this Agreement, Party B should sell Party A authorized

products in the authorized territory only by the company name shown in this agreement, no other company name is allowed.

2.乙方在事前未得到甲方书面授权的情况下,不得在未经甲方授权经销区域及授权行业以外直接或间接经销产品和提供相关服务,也不得向有此意图的公司或个人销售此类产品。

b.Without written authorization from Party A ahead of time, Party B shall not

directly or indirectly distribute products and provide related services outside the distribution territory and authorized industry, and shall not sell such products to companies or individuals with such intent.

3.乙方同甲方紧密配合,在市场上防止和举报伪造品的流通。同时乙方积极配合甲方在合约期内业绩目标的达成。

c.Party B works closely with Party A to prevent and report the circulation of

counterfeit products in the market. At the same time, Party B actively

cooperates with Party A in achieving Party B's performance goals during the contract period.

4.在执行此协议时,经销商应被视为独立企业,其股东、管理人员、其雇员均不能被视为甲方的经销人、雇员或法律上的合资方。

In the implementation of this agreement, the distributor shall be regarded as an independent enterprise, and its shareholders, management personnel and employees shall not be regarded as Party A’s distributors, employees, or legal joint venture parties.

5.乙方可以在授权区域以及授权经销行业内使用或复制包括甲方公司标志、网络链接、产品图片、产品数据等在内的相关内容。

Party B may use or copy including Party A's company logo, website links, product pictures, product data and other contents in authorized areas and authorized distribution industries.

6.甲方保留对乙方的任何违反本合约中约定的产品,行业以及区域的范围的使用甲方商标及标识的行为进行(包括但不限于法律手段)追究的权利。Party A reserves the right to pursue (including but not limited to legal means)for the behaviors of using the trademarks and logos of Party A for any product, industry and territory that violates this agreement.

第三条甲方的职能与责任

3. Party A's functions and responsibilities

1.甲方负责全球性的产品宣传与推广,并对乙方人员进行必要的专业培训。

a.Party A is responsible for global product promotion and necessary

professional training for Party B personnel.

2.在本协议有效期内,甲方向乙方提供品牌宣传,市场推广,联合拜访客户等市场及业务拓展的支持。

b.During the validity period of this agreement, Party A will provide Party B

with market and business support such as brand promotion, marketing, and joint visits with customers.

双方不得泄露彼此经营活动中的商业秘密。在协议确定签约之前,乙方须提供目前接触客户清单进行备案。在协议有效期内,甲方不得在经销协议授权的产品、客户群体和区域内越过乙方直接或者通过任何第三方间接接洽客户(除国际主机厂,跨国能源公司外国总部直接在乙方国家发出的采购或者标案,不包括在本协议中)。

Both parties shall keep each other’s business confidential information strictly. Before sign the agreement, Party B shall supply current customer list to Party A and update regularly, during the valid time of this agreement, Party A shall not make sales of authorized products directly or via any third parties to Party B’s customer (Except international OEM companies, international energy companies who place the purchasing orders or tenders directly in Party B’s territory, these are not business include Party B in the agreement).

3.甲方对产品的质量负责,承担自发货后90天起2年的标准质保和相关产品责任保险,但是甲方不承担所有非甲方产品质量原因造成的包括但不限于产品损失,人身损害或财产损失等相应损失。

c.Party A is responsible for the quality of the product and bears a 2-year

standard warranty and related product liability insurance from 90 days after delivery, party A shall not be liable for any loss not attributable to the

quality of Party A's products, including but not limited to, product loss,

personal injury or property loss.

4.甲方应根据乙方按照甲方生产规划提出的购买要求,及时并准确向乙方供货,如因甲方原因造成延误交付,甲方将承担相应的责任和损失,不可抗力因素造成的延误不包含在此条款中。

d.Party A shall promptly and accurately supply Party B according to the

purchase requirements made by Party B in accordance with Party A's

production plan. If the delivery is delayed due to Party A's reasons, Party A will bear corresponding responsibilities and losses. The delay caused by

force majeure factors will not be included in this clause.

5.甲方每个季度提供最新的产品销售指导价格表,乙方必须按照最新的指导价格执行销售。

e.Party A provides the latest guidance price list of product sales every quarter,

and Party B must execute sales according to the latest guidance price.

6.甲方将对经销商每年进行定期业绩评审。

f.Party A will conduct regular performance reviews of distributors every

year.

7.甲方有权对违反经销商授权协议中的相关规定的经销商进行法律追责。

g.Party A has the right to pursue legal responsibility for distributors who

violate the relevant provisions in the distributor authorization agreement.

8.乙方若发生在授权区域的恶性竞争和在非授权区域的严重侵权经营的行为,甲方有权单方面对违规方做出终止合约的决定,并保留追求违规方的法律责任和经济补偿的权力。

h.If Party B has vicious competition in the authorized area and serious

infringement in the unauthorized area, Party A has the right to unilaterally make a decision to terminate the contract to the violating party, and reserves the right to pursue the legal responsibility and economic compensation of the violating party.

9.甲方在乙方所属经销区域内了解到项目时,须在1个工作日内向乙方以邮件或者电话方式通告,乙方须在接到甲方通告后的2个工作日和甲方沟通了解的项目信息和对接推进计划。

i.When Party A learns about the project in the distribution area that Party B

belongs to, Party A must notify Party B by mail or telephone within 1

working day. Party B must communicate with Party A about the project information within 2 working days after receiving the notification from

Party A and and dock promotion plan.

第四条经销商的职能与责任

4. Functions and Responsibilities of Distributor

1,乙方应积极主动向其授权区域和行业板块内的用户推荐甲方产品。a.Party B shall proactively recommend the products of Party A to users in the

authorized areas and industry segments.

2,乙方有义务完成由双方合约约定的年度销售指标。

b.Party B is obliged to complete the annual sales target agreed by both parties

c.Party B shall not disclose the business secrets, technical parameters and

other core secrets of Party A's business activities. During the validity of the agreement, without the permission of Party A, Party B shall not engage in and participate in the business activities of other similar products.

在涉及乙方未经授权的产品,行业板块或区域时,乙方须在了解到市场信息的36小时内通过邮件和电话会议的方式向甲方报备,并且在得到甲方授权后才可以继续推进业务。

For Party B's unauthorized products, industry segments or areas, Party B must report to Party A via email and conference call within 36 hours after obtaining market information, and can only promote business after obtaining Party A's authorization.

3,乙方在任何时候都应遵守授权区域当地的与产品的推广和销售有关的

现行法律和法规,甲方不承担任何由乙方原因所引起的索赔与法律责任。

d.Party B shall abide by the local current laws and regulations related to

product promotion and sales in the authorized area at all times, and Party A shall not bear any claims and legal liabilities caused by Party B's reasons.

4,乙方应该通过向客户提供专业的售后服务及技术指导等以增加协议产品的市场价值。

e.Party B should increase the market value of the agreement products by

providing professional after-sales service and technical guidance to

customers.

5,乙方向甲方要求供货时,根据甲方的生产规划,应以书面方式填写销售/订货合同,注明订货号、规格型号、数量、交货期、运输方式等主要内容,并由其法定代表人签字。

f.When Party B requires the supply from Party A, according to Party A's

production plan, the sales/order contract should be filled out in writing with the main content such as order number, specification model, quantity,

delivery date, transportation method, etc. and legal representative's

signature on it.

6,乙方在向客户报价时,乙方应遵守不低于甲方更新的产品销售指导价格表进行报价。

g.When quoting to customers, Party B should abide by the updated product

sales guidance price list of Party A.

7,乙方有义务参加甲方伙伴全球聚会,甲方会负责乙方在活动举办地的住宿,饮食及交通等服务。乙方往返活动地的交通自费。

h.Party B is obliged to participate in the global gathering of Party A

Partners. Party A will be responsible for Party B's accommodation, food and transportation services at the venue of the event. Party B shall pay for

transportation to and from the activity place.

8,乙方有义务向甲方报告有关其公司状况的重大改变:包括但不限于注册名称、营业地址、分支机构的增加或减少、自行发展的分销商、公司股东或内部改组等。对此类改变,甲乙双方须根据不同的改变和调整重新评估包括但不限于现有经销等级,销售目标,授权范围等相关事宜。

i.Party B is obliged to report to Party A major changes regarding its

company's status: including but not limited to registered name, address, increase or decrease of branches, self-developed distributors, company shareholders or internal reorganization, etc. For such changes, Party A and Party B must re-evaluate according to different changes and adjustments including but not limited to existing distribution levels, sales targets, authorization scope and other related matters.

第五条订货及发货规则

5. Order and Delivery Rules

1.每次乙方的采购订单需具备最小起订量。采购订单被甲方接受时,均构成独立买卖合同,并按独立合同完成交易。

a. Each purchase order of Party B must have a minimum order quantity. Independent sale and purchase contract is constituted each time Party B's purchase order is accepted by Party A, and the transaction is completed in accordance with the independent contract.

2.对于甲方标准产品的订单,除涉及大项目和政府以及信用度极高的大型集团客户双方协商付款条件,对于一般量的采购订单乙方须在产品出货前支付订单全款,在订单确认48 小时后乙方不能取消此次订货,如果取消,乙方需要支付甲方5%的订单总金额作为赔偿。

b. In regard to the order of Party A's standard products, Party B must pay the order in full before the product is shipped. Party B cannot cancel the order 48 hours after the order is confirmed. If canceled, Party B needs to pay 30% of the total order amount to Party A as compensation. Above orders are not include project contains huge order volume, Government’s purchase and big international corporate’s big order with trustable credit.

3.对于非标准产品(在甲方标准品基础上做简单改造,如:增加枪线长度,

更换UI界面等非常规需求)的订单,乙方须在产品出货前支付订单全款,在订单确认24 小时后乙方不能取消此次订货,如果取消,乙方需要支付甲方30%的订单总金额作为赔偿。

c.In regard to orders of non-standard products (simple modifications are made

based on the standard products of Party A, such as: increasing the length of the connector line, replacing the UI interface and other unconventional

needs), Party B must pay the order in full before the product is shipped and Party B cannot cancel this order 24 hours after the order is confirmed. If

canceled, Party B needs to pay 30% of the total order amount to Party A as compensation.

4.对于高度定制产品(在甲方标准品基础上做重大改造,如:更换外观印刷方案,充电端口更换,更换内部重要部件和全新定制开发客户需要的产品)的订单,乙方须在订单确认后预付50%的订单全款,在产品出货前支付订单全款,在订单确认24 小时后乙方不能取消此次订货,如果取消,乙方需要支付甲方80%的订单总金额作为赔偿。

d.For orders of highly customized products (based on Party A's standard

products, such as, external printing schemes replacement, charging port

replacement and replacement of important internal components and new customized development products required by customers), Party B must

prepay 50% of the full amount of the order after order confirmation, and pay the order in full before the product is shipped. Party B cannot cancel the

order 24 hours after the order is confirmed. If cancelled, Party B needs to pay 80% of the total order amount to Party A as compensation.

第六条品质保证

6. Quality Assurance

1.乙方在接收每个批次的订单时,有义务检查所有产品的运输后的包装状态,对于运输后包装损坏等异常现象,须以书面形式在货物抵达目的地后4个工作日内通知甲方,协助甲方做好交付品质管控。

a. When receiving each batch of orders, Party B is obliged to check the packaging status of all products after transportation. For abnormal phenomena such as packaging damage after transportation, Party B must notify Party A in writing 4 working days after cargos arrive at the destination and assist Party A to do delivery quality control.

2.对于一切由不适当使用、处理、安装、或撞击;水灾或火灾等自然灾害;或正常磨损与消耗而引起的损坏,甲方不承担责任,但是甲方须支持乙方技术支持和保障替换部件的供应。

b. Party A is not responsible for any damage caused by improper using, handling, installation, or hit; natural disasters such as flood or fire; or normal wear and consumption, but Party A must support Party B technical support and guarantee the supply of replacement parts.

第七条协议期限

7. Term of Agreement

本协议有效期为2年,合约期满后,甲方对乙方在合约期内的销售和市场拓展做出评估,并和乙方协商新的协议的条款和年限。

This agreement is valid for 2 years. After the contract expires, Party A evaluates Party B's sales and market expansion during the contract period, and negotiates with Party B for the terms and conditions as well as duration of the new agreement.

在协议期满之后,乙方享有优先续约权。

After the expiration of the agreement, Party B has the priority to renew the contract.

如果乙方在协议期满之后的15日之内没有向甲方以邮件的形式提出正式的续约申请,甲方将默认乙方已经放弃续约权,并可以和任何的第三方签署相应的经销商授权协议。

以上续约条款在收到不可抗力因素(自然灾害等)影响下,导致乙方未能及时和甲方申请续约,甲方须另行考虑乙方的续约资质。

If Party B does not submit a formal renewal application to Party A by mail within 15 days after the expiration of the agreement, Party A will assume that Party B has given up the right to renew the contract and can sign the

corresponding distributor agreement with any third party.

Under the influence of force majeure factors (natural disasters, etc.), Party B fail to apply for renewal contract with Party A in time, Party A must consider Party B's renewal qualifications.

第八条解除协议

8. Termination of Agreement

乙方有下列情况发生时,甲方可单方面解除本协议,并不对乙方做出任何补偿:

Party B may unilaterally cancel this agreement when Party B has the following circumstances, and will not provide any compensation to Party B:

1.本协议有效期届满后十五天内乙方未以书面的形式正式向甲方提出续

约申请;

a.Within 15 days after the expiration of this agreement, Party B did not

formally submit an application for renewal to Party A in written form;

本协议有效期内,乙方在授权的区域的授权行业板块内销售甲方授权的产品的过程中有违反相抵法律法规的行为;

During the validity of this agreement, Party B violated the laws and

regulations in the process of selling the products authorized by Party A in the authorized industry segment of the authorized area;

2.本协议有效期内,乙方在授权的区域的授权行业板块内销售甲方授权的

产品的过程中出现了重大经营事故严重损害了甲方的品牌和商誉;b.During the period of validity of this agreement, during the sale of the

products authorized by Party A in the authorized industry sector of the

authorized area, Party B has suffered major business accidents and seriously damaged Party A's brand and reputation;

3.本协议有效期内,乙方在授权的区域的授权行业板块内销售甲方授权的

产品的过程中,乙方公司因为自身原因经营不善,导致出现包括但不限于破产清算,资产冻结等情况;

c.During the validity of this agreement,during the sale process of products

authorized by Party A in the authorized industry segment of the authorized area,bankruptcy and liquidation,asset freezing and other situations befall on Party B for its own mismanagement.

4.本协议有效期内,乙方在授权的区域的授权行业板块内销售甲方授权的

产品的过程中向甲方竞争对手透露甲方公司的重要机密信息,包括但不限于产品测试报告,财务报告,资质材料等甲方公司内部机密文件和信息;

d.During the validity of this agreement, Party B reveals the important

confidential information of Party A to the competitors of Party A during the process of selling the product authorized by Party A in the authorized industry segment of the authorized area, including but not limited to product

test reports and financial reports , qualified materials and other Party A’s internal confidential documents and information;

5.本协议有效期内,乙方在授权的区域的授权行业板块内销售甲方授权的

产品的过程中,在市场上散布针对甲方公司或甲方签署的其他经销商的恶意谣言等;

e.During the validity of this agreement, during the process of selling products

authorized by Party A in the authorized industry sector of the authorized area, Party B spreads malicious rumors on the market against the Party A company or other distributors signed by Party A;

6.本协议有效期内,乙方在授权的区域的授权行业板块内销售甲方授权的

产品的过程中,在年度评审结果后,对于甲方提出的整改要求,三个月内没有改善方案和措施的;

f.During the validity of this agreement, during the process of selling the

products authorized by Party A in the authorized industry sector of the

authorized area, after the annual review results, Party B has no

improvement plans and measures for the rectification requirements

proposed by Party A within three months;

7.如果本协议因上述条款终止,甲方仍然保留追究乙方赔偿责任的权利。

在收到甲方书面通知或本协议终止时,乙方应立即停止以任何形式使用

甲方商标及网站域名等继续谋取商业留意的行为,否则,甲方将追究乙方的侵权责任和经济损失。

g.If this agreement is terminated due to the above clauses, Party A still

reserves the right to pursue Party B's responsibility for compensation. Upon receiving the written notice from Party A or the termination of this

agreement, Party B shall immediately stop using any trademarks such as Party A and the domain name of the website to continue to seek commercial attention. Otherwise, Party A will pursue Party B's tort responsibility and economic loss.

第九条保密

9. Confidentiality

本协议任何一方均不得在本协议有效期内及期满后2年内,对任何第三方个人或公司泄露,在合约期内了解到的,有关另一方的任何会直接损害或者潜在损害商业利益的消息或情报。否则,另一方有权追究泄露方的相关法律责任和经济赔偿。

Neither party shall disclose to any third party individuals or company any information or intelligence about the other party that is known during the validity of this agreement and within2 years after the expiration of this agreement. Otherwise, the other party has the right to pursue the relevant legal responsibility and economic compensation of the disclosing party.

第十条其他条款

10. Other Terms and Conditions

纠纷的处理:若甲乙双方对本协议发生争议,双方应协商解决,协商不能达成一致,应送交甲方所在地的法院通过法律途径解决。所有签署的附属协议,都是本协议不可分割的组成部分,享有和本协议一样的法律效力和对协议双方的约束力。本协议一旦生效,上述文件亦同时生效。同时对于上述任何一个文件的违反,视为对本协议的违约。本协议一式两份,双方各执一份,经双方法定代表人签字并加盖公章后生效。

Settlement of disputes: If both parties have disputes over this agreement, both parties shall settle the dispute through negotiation. If the negotiation fails to reach an agreement, disputes shall be sent to the court where Party A is located for legal resolution. All the signed subsidiary agreements are an integral part of this agreement and hold the same legal effect and binding force on both parties. Once this agreement comes into effect, the above documents will also come into effect. At the same time, any violation of the above documents shall be considered as a breach of this agreement. This agreement is made in duplicate, with each party holding one copy, which is effective after being signed by the legal representatives of both parties and affixed with the official seal.
