The products referred to in this agreement are the products manufactured by Party A.

第三条、独家经销权Article 3.XXX.

甲方授予乙方在**地区销售其产品的独家经销权，乙方应当以最大的诚信和努力推广甲方的产品，提高甲方产品在市场上的知名度和销售量。

Party A grants Party B XXX n right to sell its products in the designated n。Party B shall promote Party A's products with XXX。and enhance the brand awareness and sales volume of Party A's products in the market.

第四条、销售义务Article 4.XXX.

乙方应当按照甲方的要求，及时地向市场提供甲方产品的销售资料，为市场提供销售技术支持和售后服务，同时保证其销售行为符合国家相关法律法规。

第五条、售后服务Article 5.After-sales Service.

乙方应当及时处理市场上甲方产品的售后服务问题，保证消费者的利益，同时将售后服务情况及时反馈给甲方。

第六条、价格和结算Article 6.Price and Settlement.

甲方应当按照与乙方协商一致的价格向乙方提供产品，并在收到乙方的订货后及时发货。乙方应当按照约定的价格结算货款，并按照约定的时间向甲方支付货款。

Party A shall provide products to Party B at the agreed price。and timely deliver the goods after receiving Party B's order。Party B shall settle the payment according to the agreed price。and pay the payment to Party A according to the agreed time.

第七条、违约责任Article 7.XXX.

任何一方违反本协议约定，应当承担违约责任，并赔偿因此造成的损失。如因一方原因导致本协议无法履行，另一方有权解除本协议。

第八条、争议解决Article 8.Dispute n.

本协议的履行和解释均适用中华人民共和国法律。如在履行本协议过程中发生争议，双方应当友好协商解决。如协商不成，任何一方均可向甲方所在地人民法院提起诉讼。
