if the mold is within the normal working life but damaged or worn during the production process, party b should be responsible for the related repair and maintenance. 五、模具费用的支付/payment terms在铸件得到最终用户的确认及甲方收到最终用户模具费用后30天内支付。

一、双方的权利及责任：买方责任及权利如下：2. 买方负责交付给卖方执行本合同所需的产品设计图纸和其他相关技术资料，并且负责技术方面的支持工作。
3. 对交付给卖方的产品设计图纸和相关技术资料，买方具有唯一的解释权，当发生歧义时，卖方应征询买方意见，由买方确认。
4. 卖方完成模具的设计和制造后，由买方去卖方现场对模具进行验证确认或由卖方提供产品样品到买方进行验证确认。
本合同中所指模具包含产品本身的模具及后续生产所需的夹治具和模具。
卖方权利及责任如下：1.卖方负责根据买方提供的产品设计图纸和其他相关技术资料进行模具的设计和制造，卖方负责按照合同规定按时完成符合买方设计要求的模具。
2. 卖方负责按时按量提供认证及样板测试、试产所需的产品。
同时卖方必须提供相关产品的详细的检验测试报告供买方确认。
如需修/改模, 送板时同时也要附检验测试报告（注明修改的地方）3. 模具由买方认证合格后，由卖方负责模具的封存。
如买方同意卖方进行产品的后续加工生产，则由卖方负责模具的修理和维护，卖方必须根据买方或买方授权的第三方的订单进行批量生产。
4. 对给买方生产的所有模具，卖方应提供的详细的设计图纸给买方。
所有的图纸必须以autocad或pro-eng(pro-el2)制作，并且必须在开模之前以电子档形式传给买方以供批准。
二、技术条款：1. 模具的修理和维护：在生产过程中模具的修理和维护由卖方负责；2. 在双方协商无异议之后，买方提供产品设计图纸及相关技术资料给卖方, 并派工程人员同卖方进行技术交流或卖方派工程人员到买方进行技术交流，产品图纸及技术要求列表见附件1；3. 卖方承诺使用所承制的模具生产出的产品能够达到买方的品质要求4. 卖方承诺使用所承制的模具生产出的产品的产能能够达到卖方的交货要求：日产能：_______k月产能：______k5. 卖方承诺本合同中所涉及的所有模具均能达到40万次。
