本协议由以下双方订立：

鉴于：
Whereas:
（一）甲方需要委托乙方代理办理法律事务，双方经协商一致确认与本委托事务相关的权利、义务及责任；
(A) Party A needs to entrust Party B to act as its representative in legal affairs. After negotiation, both parties have reached an agreement on the relevant rights, obligations and responsibilities related to this entrustment;
（二）双方达成一致共同意愿，根据《中华人民共和国民法通则》、《合同法》等法律法规的规定，签订本协议。

(B) Both parties have reached a consensus and, in accordance with the provisions of the General Principles of Civil Law of the People's Republic of China and the Contract Law and other relevant laws and regulations, have signed this agreement.
一、甲方的权利和义务
I. Rights and Obligations of Party A
甲方需要委托乙方办理以下具体事务：
Party A needs to entrust Party B to handle the following specific matters:
1.1仔细了解委托事务的内容，提供全面、准确的相关文件及证据，并确保其真实性和合法性；
1.1 Carefully understand the content of the entrusted affairs, provide comprehensive and accurate relevant documents and evidence, and ensure their authenticity and legality;
1.2支付委托事务相关费用，并按约定支付相应的转账手续费及法定税费；
1.2 Pay the fees related to the entrusted business, and pay the corresponding transfer fees and legal taxes as agreed;
1.3按照约定的期限完成委托事务，并按要求配合乙方的工作；
1.3 Complete the entrusted business within the agreed period, and cooperate with Party B's work as required;
1.4确保其委托乙方代理办理的事务合法合规，遵守中国相关的法律法规；
1.4 Ensure that the affairs entrusted to Party B are legal and compliant, and comply with relevant laws and regulations in China;
1.5对双方之间产生的纠纷采取合理的沟通与解决方式。

1.5 Take reasonable communication and resolution methods for any disputes between the parties.
二、乙方的权利和义务
II. Rights and Obligations of Party B
乙方需要完成以下具体事务：
Party B needs to complete the following specific matters:
2.1 依法代理办理甲方的委托事务，保护甲方合法的权益；
2.1 Act as Party A's representative in accordance with the law, and protect Party A's legitimate rights and interests;
2.2 为甲方办理相关事务提供咨询、意见等服务，并保证服务的质量；
2.2 Provide consulting, opinions and other services for the related affairs of Party A, and ensure the quality of the services;
2.3按照约定的期限完成委托事务，及时向甲方汇报工作进展；
2.3 Complete the entrusted business within the agreed period, and timely report the progress of the work to Party A;
2.4保守甲方信息的保密性，不得向第三方泄露相关信息；
2.4 Keep the confidentiality of Party A's information, and shall not disclose relevant information to a third party;
2.5依据合同条款的约定，承担相应的责任和违约责任。

三、委托事务的履行方式
III. Manner of Performance of Entrusted Affairs
双方通过网上/线下签署本协议、电子邮件或书面信函等各种方式进行委托事务的确认和授权。

双方确认委托事务的范围、内容、期限等事项，并约定相关费用的支付方式。

Both parties confirm and authorize the entrusted matters through various methods such as online/offline signing of this agreement, email or written correspondence. Both parties confirm the scope, content, and period of the entrusted affairs, and agree on the payment methods for the related fees.
四、法律效力及可执行性
IV. Legal Effect and Enforceability
本协议为合法有效的文件，对双方具有约束力。

如产生争议应通过协商解决。

协商不成的，任何一方均可向有管辖权的人民法院提起诉讼。

This agreement is a legally effective document that is binding on both parties. Any disputes arising should be resolved through consultation. If consultation fails, either party may file a lawsuit with the competent people’s court.
五、其他
V. Other Provisions
本协议生效日期为双方签署之日起，有效期为委托事务完成之日止。

除本协议规定的义务外，双方应当遵守中国的相关法律法规和双方另行约定的条款。

This agreement shall come into effect from the date of signing by both parties, and shall be valid until the date of completion of the entrusted affairs. In addition to the obligations stipulated in this agreement, both parties shall comply with relevant laws and regulations of China and the terms of further agreements between the parties.
