Definitions1.1 "Goods" shall mean the products or merchandise subject to international trade under this Contract, as listed in Exhibit A.1.2 "Purchase Order" shall mean the written document submitted by Party A to Party B, indicating the type, quantity, quality, price, and delivery terms of the Goods requested.1.3 "Delivery" shall mean the transfer of possession of the Goods from Party B to Party A, in accordance with the agreed Incoterms® 2020.1.4 "Price" shall mean the total monetary amount payable by Party A to Party B for the purchase of the Goods, as specified in the Purchase Order.2. Purchase and Sale of Goods2.1 Party B agrees to sell and deliver the Goods to Party A upon receipt of a valid Purchase Order in accordance with the terms and conditions specified in this Contract.2.2 Party A agrees to purchase the Goods from Party B in accordance with the terms and conditions specified in this Contract and the Purchase Order.2.3 The Parties acknowledge that any changes or modifications to the Purchase Order must be agreed upon in writing and signed by both Parties.3. Price and Payment3.1 Party A agrees to pay the Price to Party B in the currency specified in the Purchase Order. The payment shall be made in accordance with the terms outlined in Exhibit B.3.2 In the event of any delay or default in payment by Party A, Party B reserves the right to charge interest on the outstanding amount at a rate of [Interest Rate]% per month or the maximum rate allowed by law, whichever is lower.3.3 All taxes, duties, customs fees, and other charges imposed by the importing/exporting countries shall be borne by Party A, unless otherwise stated in the Purchase Order.4. Delivery and Inspection4.1 Party B shall deliver the Goods to the specified delivery address as outlined in the Purchase Order. The Parties shall agree upon the agreed Incoterms® 2020 to determine the rights, responsibilities, and risks associated with the delivery of the Goods.4.2 Party A shall have the right to inspect the Goods upon delivery. Any claims for non-conforming or defective Goods must be made in writing within [Number of Days] days after the receipt of the Goods.4.3 Party B shall remedy any non-conforming or defective Goods withina reasonable period or provide a replacement, at its own expense, as determined by Party A.5. Force Majeure5.1 Neither Party shall be held liable for any failure or delay in the performance of its obligations under this Contract due to unforeseen circumstances or events beyond its reasonable control, including but not limited to acts of God, war, riots, epidemics, fire, flood, or government regulations.5.2 In the event of a force majeure event, the Parties shall promptly notify each other in writing and make reasonable efforts to mitigate the impact on the performance of this Contract.6. Governing Law and Dispute Resolution6.1 This Contract shall be governed by and construed in accordance with the laws of [Governing Law], without regard to its conflict of laws principles.6.2 Any dispute arising out of or in connection with this Contract shall be settled amicably through good-faith negotiations between the Parties.
