This Ship Transportation Contract (hereinafter referred to as "the Contract") is made and entered into by and between the following parties:

Whereas, Party A is engaged in the business of shipping cargo by sea, and Party B desires to engage Party A to transport its goods by sea.
Now, therefore, the parties agree as follows:
I. Identity and Obligations of the Parties
1. Party A shall perform its obligations under this Contract as
a carrier.
2. Party B shall perform its obligations under this Contract as
a shipper.
II. Subject Matter of the Contract
1. Party A agrees to transport the goods described in Attachment 1 (hereinafter referred to as "the Goods") from the port of loading to the port of discharge.
2. Party B shall be responsible for the proper packing and marking of the Goods in accordance with relevant laws and regulations.
III. Freight and Payment
1. The freight for the transportation of the Goods shall be [insert amount] per container.
2. Payment of the freight shall be made by Party B to Party A within [insert time frame] after the arrival of the vessel at the port of discharge.
IV. Delivery and Discharge
1. Party A shall exercise due diligence to deliver the Goods to the port of discharge in the same condition as at the time of loading.
2. Party B shall take delivery of the Goods at the port of discharge within [insert time frame]. If Party B fails to take delivery of the Goods within this time frame, Party A may, without
prejudice to any other rights or remedies, charge demurrage and/or detention fees at a rate of [insert rate] per day.
V. Liability
1. Party A shall be liable for any loss or damage to the Goods that occurs during the transportation, except for loss or damage caused by factors beyond its control, such as force majeure.
2. Party B shall be liable for any loss or damage to the Goods caused by improper packing or marking.
3. The liability of Party A and Party B shall be limited to the actual value of the Goods at the time and place of delivery.
VI. Force Majeure
1. Neither Party shall be liable for any failure to perform its obligations under the Contract due to an event of force majeure.
2. If an event of force majeure occurs, the affected Party shall promptly notify the other Party in writing and take all reasonable steps to mitigate the effects of the event.
VII. Governing Law and Dispute Resolution
1. This Contract shall be governed by and construed in accordance with the laws of the People's Republic of China.
2. Any dispute arising out of or in connection with this Contract shall be settled through amicable negotiation. If the dispute cannot be resolved through negotiation, either Party may
submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its Arbitration Rules in effect at the time of the submission.
VIII. Legal Validity and Enforceability
1. This Contract shall be legally valid and enforceable in accordance with applicable laws and regulations.
2. If any provision of this Contract is found to be invalid or unenforceable, the other provisions shall remain in full force and effect.
3. This Contract may not be amended or modified except in writing signed by both parties.
This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them.
