基于其越来越重要的地位,本文将对我国非经常性损益的概念进行界定。

【关键词】非经常性损益 ;界定在我国,按照性质不同,企业的经济活动一般可以划分为两大类:一是正常项目,是指企业发生的、与其生产经营活动直接相关的各种交易和事项;二是非正常项目,是指区别于企业的正常活动、与其生产经营活动没有直接关系的交易和事项。

而按照发生的频率不同,又可以把企业的经济活动分为两大类:一是经常项目,是指在企业的日常经营活动中频繁发生的交易和事项;二是非经常项目,是指在企业的非日常活动中偶尔、一次性发生的交易和事项。

由此根据这两种不同的标准,可以将经济活动具体分为四种交易或事项:正常的、经常性损益,正常的、非经常性损益,非正常的、经常性损益,非正常的、非经常性损益。

可见,非经常性损益不仅包括与企业生产经营活动没有直接关系的交易和事项形成的损益,还包括虽与企业的生产经营活动直接相关但其发生的金额和频率等因素会影响到公允判断的交易和事项形成的非持续性损益。

在报告期内,非经常项目所产生的收益和损失相抵后的余额即为非经常性损益。

在我国企业会计准则中并未明确提及非经常性损益这一概念,一般都是从证监会的规定中引用而来。

按照证监会的要求,上市公司需从1999年年报起在定期报告中披露“扣除非经常性损益后的净利润”指标,当时证监会将非经常性损益定义为:“除去公司正常经营损益外所发生的具有一次性或偶发性特点的损益”。

这是国内首次以概念的形式提出“非经常性损益”。

但由于当时并没有对非经常性损益作出明确的界定,导致这一指标的披露存在不少的问题,使得它的可比性大大降低。

为此,证监会于2001年发布了《公开发行证券的公司信息披露问答第1号—非经常性损益》(以下简称“问答第1号”),对非经常性损益的内容和披露范围作出了界定:非经常性损益是公司发生的与生产经营过程没有直接关系,即使与生产经营活动有关联,但要求其发生的性质、金额或者频率必须能影响了真实、公允对公司当期经营成果和获利能力的相关收入、支出作出评价。

(二)越权审批,或无正式批准文件,或偶发性的税收返还、减免;观点:1、一般认为高新技术15%的优惠税率属于经常性损益。

实务中都是认定为经常性损益的(但所获得的高新技术认定明显存在瑕疵的情况除外)。

企业所获得的高新认定与正常经营业务直接相关,且有《企业所得税法》及其实施条例以及科技部、财政部、国家税务总局的相关文件作为依据,不属于越权减免,正常情况下其有效期至少为三年,不属于短期性的优惠。

2、一般情况下,什么房产税优惠,水利建设基金优惠也都会被认定为政府补助,从而计入非经常性损益。

创业板上市公司业务办理指南第2号——定期报告披露相关事宜为促进深圳证券交易所(以下简称本所)创业板上市公司提高信息披露质量,规范其业绩预告、业绩快报及定期报告披露业务行为,根据《中华人民共和国证券法》、中国证监会《上市公司信息披露管理办法》《公开发行证券的公司信息披露内容与格式准则第2号——年度报告的内容与格式》《公开发行证券的公司信息披露内容与格式准则第3号——半年度报告的内容与格式》《公开发行证券的公司信息披露编报规则第13号——季度报告的内容与格式》(以下将该三项规则统称为定期报告准则)、本所《创业板股票上市规则》《创业板上市公司规范运作指引》等相关规定,制定本业务办理指南。

一、业绩预告、业绩快报、盈利预测及其修正(一)业绩预告披露标准上市公司董事会应当密切关注发生或可能发生对公司经营成果和财务状况有重大影响的事项,及时对年度经营业绩和财务状况进行预计。

1.上市公司预计年度经营业绩或者财务状况将出现下列情形之一的,应当在会计年度结束之日起一个月内进行预告:(1)净利润为负;(2)净利润与上年同期相比上升或者下降50%以上;(3)实现扭亏为盈;(4)期末净资产为负值。

2.上市公司因《创业板股票上市规则》规定的情形,其股票被实施退市风险警示的,应当于会计年度结束之日起一个月内预告全年营业收入、净利润、扣除非经常性损益后的净利润和净资产。

3.新上市公司在招股说明书、上市公告书等发行上市公开信息披露文件中未披露年初至下一报告期末主要财务数据和会计指标的,应当按上述要求披露业绩预告。

(二)业绩预告方式上市公司应当合理、谨慎、客观、准确地披露业绩预告,明确披露业绩的变动范围、盈亏金额区间等,不得采用措辞模糊的表述,如“一定幅度”“较大幅度”“较高”等词语来代替。

1.公司应当在业绩预告中披露业绩变动范围,上下限区间最大不得超过50%,即[(上限金额-下限金额)/下限金额] 的绝对值应不超过50%,鼓励不超过30%。
